Der gesamte Satz lautet:

"L’Amministratore munito di deleghe che abbia un interesse in una determinata operazione della Società, deve astenersi dal compiere l’operazione investendo della stessa l’Organo collegiale."

Mir bereitet vor allem der Anschluss Kopfzerbrechen, insbesondere die Verbindung zwischen "investendo" und "Organo collegiale".

Andere Varianten sind natürlich denkbar.
Jedenfalls verstehe ich "Organo collegiale" als Objekt zu "investire", wobei "investire" wie folgt zu verstehen ist: 1. a. Mettere in possesso di un dominio, di una dignità, e, per estens., concedere una carica, un grado, affidare un mandato importante, riconoscere con certe formalità la facoltà di esercitare determinati diritti (Treccani).
