Source text - Turkish Madde 17 - Belirsiz süreli iş sözleşmelerinin feshinden önce durumun diğer tarafa bildirilmesi gerekir. İş sözleşmeleri;
a) İşi altı aydan az sürmüş olan işçi için, bildirimin diğer tarafa yapılmasından başlayarak iki hafta sonra,
b) İşi altı aydan birbuçuk yıla kadar sürmüş olan işçi için, bildirimin diğer tarafa yapılmasından başlayarak dört hafta sonra,
c) İşi birbuçuk yıldan üç yıla kadar sürmüş olan işçi için, bildirimin diğer tarafa yapılmasından başlayarak altı hafta sonra,
d) İşi üç yıldan fazla sürmüş işçi için, bildirim yapılmasından başlayarak sekiz hafta sonra,
feshedilmiş sayılır.
Bu süreler asgari olup sözleşmeler ile artırılabilir. Bildirim şartına uymayan taraf, bildirim süresine ilişkin ücret tutarında tazminat ödemek zorundadır. İşveren bildirim süresine ait ücreti peşin vermek suretiyle iş sözleşmesini feshedebilir.
İşverenin bildirim şartına uymaması veya bildirim süresine ait ücreti peşin ödeyerek sözleşmeyi feshetmesi, bu Kanunun 18, 19, 20 ve 21 inci maddesi hükümlerinin uygulanmasına engel olmaz. 18 inci maddenin birinci fıkrası uyarınca bu Kanunun 18, 19, 20 ve 21 inci maddelerinin uygulanma alanı dışında kalan işçilerin iş sözleşmesinin, fesih hakkının kötüye kullanılarak sona erdirildiği durumlarda işçiye bildirim süresinin üç katı tutarında tazminat ödenir. Fesih için bildirim şartına da uyulmaması ayrıca dördüncü fıkra uyarınca tazminat ödenmesini gerektirir.
Translation - English Article 17 – Prior to terminating an employment agreement made for an indefinite period, a notice should be served to the other party in this respect. The agreement shall then be deemed terminated:
a) two weeks after the service of notice for an employee whose employment has lasted less than six months,
b) four weeks after the service of notice for an employee whose employment has lasted from six months to one and a half year,
c) six weeks after the service of notice for an employee whose employment has lasted from one and a half year to three years.
d) eight weeks after the service of notice for an employee whose employment has lasted more than three years.
These are minimum periods and may be increased by way of contracts. The party failing to comply with the notice requirement shall pay compensation in the amount of the wages corresponding to the term of notice. The employer may terminate the employment agreement by paying in advance the wage corresponding to the term of notice.
The employer’s failure to comply with the notice requirement or termination of the employment agreement by the employer by paying in advance the wage corresponding to the term of notice shall not preclude the application of Articles 18, 19, 20 and 21 of this Law. In the event that employment agreements of employees who fall outside the scope of Articles 18, 19, 20 and 21 of this Law as per the first paragraph of Article 18 are terminated through abusive exercise of the right to terminate, the employee shall be paid compensation amounting to three times of the wage corresponding to the term of notice. The failure to fulfil the notice requirement for termination requires the payment of further compensation as per the fourth paragraph.

Source text - English The respective obligation of the Sellers and the Buyer to complete the Transaction shall be conditional upon the following conditions:
a) Competition Authority having approved the consummation of the Transaction either unconditionally or upon conditions acceptable to the Buyer, OR the relevant waiting period for such approval having expired following a notification, without any suit, investigation or proceeding having been initiated by the Competition Authority, OR the Competition Authority having confirmed that the contemplated Transaction is below the turnover thresholds in the Communique Concerning The Mergers and Acquisitions Of The Competition Board and is not subject to the approval of the Competition Authority;
b) the Sellers annulling all the existing bearer Share Certificates issued for the Shares, duly changing Shares from bearer shares to registered shares by amending the articles of associations, and issuing new registered Share Certificates representing all of the shares of the Company (the “New Share Certificates”) by adopting a new resolution of the board of directors of the Company regarding the cancellation of the bearer Shares and issuance of the registered Shares (the “New BoD Resolution”);
c) each Seller waiving, in writing, his / her preemption right and / or right of first refusal in respect to all other Sellers’ shares in the Company (the “Waivers”);
d) the Sellers ensuring that the Company executes a legal consultancy / retainer agreement with a lawyer in order to comply with its obligation under the Applicable Law (the “Retainer Agreement”).

2-Sair talepler ile ilgili mahkememizce 2013/53 esas 2015/85 karar sayılı ilamı ile verilen hüküm onanmıs olduğundan diğer talepler ile ilgili yeniden karar verilmesine yer olmadığına,
3-Harçlar Yasasına göre hesaplanan 35,90-TL karar harcından pesin alınan 27,70-TL’nin mahsubu ile bakiye 08,20-TL’nin davalılardan tahsili ile hazineye irat kaydına,

1- that the case is accepted for the part related to expertise services for commercial and industrial products falling within the scope of the defendant’s trademark, and that the trademark registered in the defendant’s name shall be invalidated and deleted from registry in terms of expertise services for commercial and industrial products in class 35 for which it is registered,
2- that there is no ground for making any further decision with respect to other claims as the judgment passed by our court under the decision with the file no. 2013/53 and decision no. 2015/85 in this respect has been approved,
3- that TRY 27.70 paid in advance shall be deducted from the decision fee of TRY 35.90 calculated as per the Law on Fees, and the remaining TRY 08.20 shall be collected from the defendants and recorded as revenue in the treasury,
4- that the fixed attorney’s fee of TRY 3,145.00 calculated as per the Minimum Attorney’s Fee Tariff shall be collected from the defendants and paid to the plaintiff,
5- that the below-listed litigation expenses of TRY 3,302.35 incurred by the plaintiff before and after the reversal shall be collected from the defendants and paid to the plaintiff,
6- that the litigation expense incurred by the defendants shall be left to be borne by the defendants.
The foregoing decision is clearly read and duly explained to the attorneys of the parties present, and can be appealed before the Court of Cassation within a legal term of 15 days.

Translation - English Article 14 Powers and Responsibilities of the Board of Directors
The duties of the Board of Directors are to pass resolutions on matters which are not subject to General Assembly resolutions as per the Turkish Commercial Code so as to ensure continuity of the company in compliance with the applicable legislation, to appoint, and designate the powers of, managing directors, managers and other employees of the company as needed, to prepare regulations for proper conduct of internal administration, to determine and announce persons who will represent the company, to identify the principles of promotion, premium and bonus which will temporarily and permanently apply to the relevant personnel where necessary for enhancing efficiency, to issue the internal directive regarding delegation of authority, and to perform any acts and actions required by the laws, the customary rules and the General Assembly.
The Board of Directors may conduct the company’s affairs itself or have them managed by the managing directors to be elected among its members, or by the managers to be appointed aliunde, or jointly. The staff which will manage the company’s affairs, including the managing directors, are accountable to the Board of Directors.
The Board of Directors may enter into agreements with the managers and other personnel it will appoint, without being bound by its own term of duty.
The Board of Directors elects a chairman and a deputy chairman among its members prior to commencement of the performance of its duties. In the absence of the chairman at the meetings, the deputy chairman chairs the meeting.
The Board of Directors or the managing directors and managers it has elected to represent the Company are entitled to enter into agreements, undertakings and other legal procedures, without being bound by the duty term of the Board of Directors.

Bu bağlamda bahsi geçen geminin söküm yapılacağı tesis sahasına gelmesine müteakip söküm işlemine başlanmadan önce;
- Geminin baştankara hale getirildiğine dair İl Müdürlüğümüze yazılı bilgi verilmesi ve
- İlgili Kurum ve Kuruluşların katılımıyla gemide inceleme yapılması neticesinde düzenlenen görgü tutanağının,
- Survey Raporunun ve Gas Free raporunun,
İl Müdürlüğümüze iletilmesi gerekmekte olup notifikasyon formu yazımız da belirtilen şartların yerine getirilmesi koşulu ile onaylanmış ve gümrük işlemlerinin yapılabilmesini teminen Ek'te verilmiştir.
Translation - English It is stated in the letter of the Ministry in the reference (b) that “for commercial ships not permitted to leave the country without approval of competent authorities of the countries on the notification, it is required to meticulously examine the information and documents attached to the notification form (survey report, hazardous material inventory, radiation surveys etc.) and, if not found acceptable, not approve the notification or, if found acceptable, approve the notification form; if, however, any circumstance which is contrary to the information and documents submitted in the preliminary notification to our provincial directorate is determined following the beaching of the ship in our country, the ship to should be returned to the country of origin within the frame of the undertaking submitted by the company concerned.”
In this respect, following the arrival of the mentioned ship to the ship dismantling facility and prior to the commencement of ship dismantling, it is required to:
- inform our Provincial Directorate in writing that the ship is beached,
- submit to our Provincial Directorate the witness report issued upon performance of an examination onboard with the participation of the Institutions and Organizations concerned, and
- submit to our Provincial Directorate the Survey Report and the Gas-Free report.
The notification form has been approved on condition of fulfilment of the requirements specified in our letter and is attached hereto in the Addendum for the performance of customs procedures.
