Source text - German Der Einsatz des ERTMS, das dank der Forschungsrahmenprogramme der Union seit Anfang der 1990er Jahre entwickelt und danach mit den
Haushaltsmitteln für die transeuropäischen Netze weiter gefördert wurde, stellt einen beträchtlichen Fortschritt für die Entwicklung der Interoperabilität und der Sicherheit der Netze dar.
In der vorgenannten Mitteilung aus dem Jahr 2005 über
die Einführung von ERTMS/ETCS legte die Kommission
dar, dass ETCS in drei Anwendungsstufen
(Anwendungsstufe 1 bis Anwendungsstufe 3) umgesetzt
wird, wobei die Anwendungsstufe 3 technisch am
anspruchsvollsten ist.
Mit der von ihr vorgeschlagenen Migrationsstrategie wollte die Kommission rasch eine kritische Masse erreichen, bei der mit ETCS ausgerüsteten Züge und Strecken so zahlreich sind, dass die Nachrüstung der restlichen Züge und Strecken unumgänglich wird.
Überdies unterstrich die Kommission, dass der Umstieg auf dieses System zügig und koordiniert erfolgen soll, damit die Interoperabilität des transeuropäischen Verkehrsnetzes gewährleistet ist.
Nach ersten Schätzungen im Plan zur ETCS-Einführung aus dem Jahr 2005 könnte diese kritische Masse mit Investitionen von rund 5 Mrd. EUR bis 2016 erreicht werden.
Die Kommission schlug vor, ca. 50 % dieser Investitionen, u. a. die Aufwendungen zur Umrüstung der Fahrzeuge, zu fördern, um dieses Vorhaben von gemeinsamem europäischen Interesse zu unterstützen und Anreize für die rasche Einführung von ETCS zu schaffen,
die durch die lange Lebensdauer von Signalanlagen von
gewöhnlich bis zu 20 Jahren erheblich erschwert wird.

The Commission proposed that about 50% of these investments, including the cost of re-equipping the rolling stock, would be assisted in order to support this project of common European interest and to create incentives for the rapid introduction of ETCS, which would be seriously
hampered by the long – up to 20 year - service life of signalling systems.

Präambel
XXX bzw. das unternehmensverbundene Unternehmen XXX Corp. ist Betreiberin des XXX Advertising Werbenetzwerks, das insbesondere die deutschsprachigen Webseiten unter den URLs ---- (inkl. des Spielenetzwerks ---), ---, sämtliche für diese Dienste zur Verfügung stehenden Apps sowie alle Windows 8 Vermarktungsflächen, die von XXX Advertising in Deutschland vermarket werden, beinhaltet. Insbesondere für die Zwecke dieser Vereinbarung gelten als Vermarktungsflächen alle Werbeflächen innerhalb dieses Netzwerkes sowie auch sämtliche von XXX lancierte Folge- und Ersatzversionen dieser Webseiten, bzw. sämtliche von XXX der Agentur vorgeschlagenen und von dieser akzeptierten neu hinzugezogenen Werbeplattformen, (nachfolgend insgesamt das „XXX-Netzwerk“ genannt).
§ 3
Sonstige Kooperation
. Die Parteien werden sämtliche Presseinformationen, Presseerklärungen und sonstigen öffentlichen Stellungnahmen über Abschluss oder Durchführung dieser Vereinbarung ausschließlich im vorherigen gegenseitigen Einvernehmen abgeben, herausgeben oder auf sonstige Art und Weise Dritten zur Verfügung stellen. XXX hat hiervon unabhängig das Recht, zu Werbezwecken auf das Bestehen der durch diesen Vertrag geregelten Zusammenarbeit hinzuweisen.
§ 4
Laufzeit der Vereinbarung und Kündigung
1. Diese Vereinbarung beginnt am 01. Januar 2014 und endet am 31.12.2014 („Laufzeit“).
2. Das Recht der Parteien zur außerordentlichen, fristlosen Kündigung bleibt unberührt. XXX behält sich insbesondere das Recht vor, diese Vereinbarung aus wichtigem Grund zu kündigen, wenn (i) die Agentur bei der Erfüllung ihrer Zahlungsverpflichtungen gegenüber XXX wiederholt in Verzug geraten ist oder (ii) ein begründeter Verdacht besteht, dass die Agentur vorsätzlich oder fahrlässig illegale XXX-Softwareprodukte nutzt oder vertreibt. Other cooperation

4.
Duration and cancellation of the agreement
1. This agreement begins on January 1, 2014 and ends on December 31, 2014 (“Duration”).
2. The right of the Parties to terminate the agreement without notice for extraordinary reason shall remain unaffected. XXX reserves the right, in particular, to terminate this agreement for cause, if (i) The Agency is repeatedly in default of its payment obligations to XXX, or (ii) there are reasonable grounds to believe that the Agency intentionally or negligently uses or distributes illegal XXX software products. The Parties reserve the right, in particular, to terminate this agreement for cause if the company relations of one Party and/or of one of the member companies of the PG Group or of XXX are changed through a merger with the companies of another agency group.
3. All terminations must be given in writing.

Other cases
When a trust or transparent partnership fails to fulfill the conditions of one of the above categories, it falls under the standard rules for intermediaries, which in principle implies that the entity and all the beneficiaries must file a declaration.
Financial intermediaries (QI / Non-QI)
Irrespective of the legal form of the financial intermediary, it holds positions for the clients’ accounts (i.e. holding assets for a third person).
When a financial intermediary has agreed a QIA with the IRS, it must justify its status to the Bank and thus may provide for pooled reporting.
Lacking this, the Non-QI financial intermediary must file a certificate containing the identity of the group of clients who hold U.S. assets (the Bank will transmit this information to the IRS).
The proper positions of a financial intermediary are to be reported separately and treated the same as for a traditional client according to the client’s status.
Governmental and non-U.S. international organizations
International or governmental organizations are generally subject to general QI requirements regarding capital corporations.

CDI
A CDI agreed between the US and the country of (tax) domicile of the income beneficiary allows for a reduction in the standard rate of withholding tax.

Limitations on benefits (clause LOB)
Regarding a legal person/non-transparent entity that has invested in U.S. securities (custody accounts) and that applies to be covered by a CDI (the client must complete the relevant field in form 6392w “Declaration of status of a legal person” and confirm that they have the right to benefit from the CDI), the Bank will, according to Section 5.03 QIA, inform it of the limitations on the possibility of benefiting from the reduced rates provided for by the CDI with the United State – “limitation on benefits” (intended to prevent “treaty shopping,” e.g., establishing a company for the sole purpose of holding interests a jurisdiction that has signed a CDI and which is not the country in which the company is incorporated).

I - Objet de la procédure
1. Dans la présente affaire, la Commission demande à la Cour de constater que, en ne transposant pas, ou le cas échéant, en transposant incomplètement, la directive 75/440/CEE du Conseil, du 16 juin 1975, relative à la qualité requise des eaux superficielles destinées à la production d'eau alimentaire dans les États membres (2)- ci-après «la directive 75/440/CEE» - la République française a manqué aux obligations qui lui incombent en vertu du droit communautaire.
II - La directive 75/440/CEE
2. Les dispositions de la directive 75/440/CEE qui importent dans le cadre de la présente instance sont libellées comme suit:
«Article 3
Les États membres fixent pour tous les points de prélèvement, ou pour chaque point de prélèvement, les valeurs applicables aux eaux superficielles en ce qui concerne les paramètres indiqués à l'annexe II. En ce qui concerne les paramètres pour lesquels aucune valeur ne figure dans le tableau de l'annexe II, les États membres peuvent ne pas fixerde valeurs en application du premier alinéa tant que les chiffres n'ont pas été déterminés selon la procédure prévue à l'article 9.
Les valeurs fixées en vertu du paragraphe 1 ne peuvent pas être moins sévères que celles indiquées dans les colonnes I de l'annexe II.
Lorsque des valeurs apparaissent dans les colonnes G de l'annexe II, avec ou sans valeur correspondante dans les colonnes I de la même annexe, les États membres s'efforcent de les respecter en tant que guides, sous réserve de l'article 6.
Article 4
Les États membres prennent les dispositions nécessaires pour que les eaux superficielles soient conformes aux valeurs fixées en vertu de l'article 3. Ce faisant, chaque État membre applique également la présente directive aux eaux nationales et à celles qui franchissent les frontières.
Dans le cadre des objectifs de la présente directive, les États membres prennent les dispositions nécessaires pour assurer une amélioration continue de l'environnement. À cette fin, ils définissent un plan d'action organique comprenant un calendrier pour l'assainissement des eaux superficielles, notamment de celles de la catégorie A3. esaméliorations substantielles doivent être réalisées à cet égard au cours des dix prochaines années dans le cadre des programmes nationaux.
Pour la fixation du calendrier visé au premier alinéa, il sera tenu compte, d'une part, de la nécessité d'améliorer la qualité de l'environnement, et notamment des eaux, et, d'autre part, des contraintes d'ordre économique et technique qui existent ou qui peuvent intervenir dans les différentes régions de la Communauté.
La Commission procédera à un examen approfondi des plans d'action visés au premier alinéa, y compris les calendriers et, le cas échéant, elle présentera au Conseil, à leur sujet, des propositions appropriées.
3 Les eaux superficielles qui ont des caractéristiques physiques, chimiques et microbiologiques inférieures aux valeurs limites impératives correspondant au traitement type A3 ne peuvent être utilisées pour la production d'eau alimentaire. Toutefois, une eau d'une telle qualité inférieure peut être exceptionnellement utilisée s'il est employé un traitement approprié - y compris le mélange - permettant de ramener toutes les caractéristiques de qualité de l'eau à un niveau conforme aux normes de qualité de l'eau alimentaire. Les justifications d'une telle exception, fondée sur un plan de gestion des ressources en eau à l'intérieur de la zone intéressée, doivent être notifiées dans les délais les plus brefs à la Commission en ce qui concerne les installations existantes et au préalable en cas de nouvelles installations. La Commission procédera à un examen approfondi de ces justifications et, le cas échéant, elle présentera au Conseil, à leur sujet, des propositions appropriées.»
III - La procédure précontentieuse
3. La directive 75/440/CEE a été publiée au Journal officiel des Communautés européennes, dans sa version française, le 25 juillet 1975. Conformément à son article 10, la directive devait être transposée dans un délai de deux ans. Ce délai a expiré, pour la République française, au plus tard le 25 juillet 1977. Pour des «améliorations substantielles» en rapport avec l'assainissement des eaux superficielles, l'article 4, paragraphe 2, prévoit un calendrier étalé sur dix ans.

(Failure of a Member State to fulfil its obligations– Council Directive 75/440/EEC – Nitrate content of surface water intended for the abstraction of drinking water – Non transposition)
I. Subject matter of the proceedings
1. In this case, the Court is asked to declare that the French Republic has failed to fulfil its obligations under the EC Treaty by failing to transpose or transposing only incompletely, Council Directive 75/440/EEC of 16 June 1975 concerning the quality required of surface water intended for the abstraction of drinking water in the Member States (hereinafter ‘Directive 75/440/EEC).’
II. Directive 75/440/EEC
1. The relevant provisions of Directive 75/440/EEC are worded as follows:
‘Article 3
Member States shall set, for all sampling points, or for each individual sampling point, the values applicable to surface water for all the parameters given in Annex II.
Member States may refrain from setting the values of parameters in respect of which no value is shown, in the table in Annex II, pursuant to the first subparagraph pending determination of the figures in accordance with the procedure under Article 9.
(2) The values set pursuant to paragraph 1 may not be less stringent than those given in the ‘I’ columns of Annex II.
(3) Where values appear in the ‘G’ columns of Annex II, whether or not there is a corresponding value in the ‘I’ columns of that Annex, Member States shall endeavour to respect them as guidelines, subject to Article 6.
Article 4
(1) Member States shall take all necessary measures to ensure that surface water conforms to the values laid down pursuant to Article 3. Each Member State shall apply this Directive without distinction to national waters and waters crossing its frontiers.
(2) In line with the objectives of this Directive, Member States shall take the necessary measures to ensure continuing improvement of the environment. To this end, they shall draw up a systematic plan of action including a timetable for the improvement of surface water and especially that falling within category A3. In this context, considerable improvements are to be achieved under the national programmes over the next 10 years.
The timetable referred to in the first subparagraph will be drawn up in the light of the need to improve the quality of the environment, and of water in particular, and the economic and technical constraints which exist or which may arise in the various regions of the Community.
The Commission will carry out a thorough examination of the plans referred to in the first subparagraph, including the timetables, and will, if necessary, submit appropriate proposals to the Council.
(3) Surface water having physical, chemical and microbiological characteristics falling short of the mandatory limiting values corresponding to treatment type A3 may not be intended for the abstraction of drinking water. However, such lower quality water may, in exceptional circumstances, be utilized provided suitable processes – including blending – are used to bring the quality characteristics of the water up to the level of the quality standards for drinking water. The Commission must be notified of the grounds for such exceptions, on the basis of a water resources management plan within the area concerned, as soon as possible, in the case of existing installations, and in advance, in the case of new installations. The Commission will examine these grounds in detail and, where necessary, submit appropriate proposals to the Council.’
III. Prelitigation procedure
3. Directive 75/440/EEC was published in the French version of the Official Journal of the European Communities on 25 July 1975. Pursuant to Article 10, it was to be transposed within a period of two years. This period expired at the latest on 25 July 1977 for France. Article 4(2) envisages a ten year timetable for the achievement of ‘considerable improvements’ in the quality of surface water.
