Source text - Spanish Este contrato de servicios (este "Contrato") se subscribe a los ________, ___, 2007, entre:
• LUKOIL Overseas Colombia Ltd., compañía constituida bajo las leyes de Las Islas Británicas, con su filial Columbiana debidamente establecida en Colombia bajo Escritura Publica No. 1597 de Junio 14, de 2002 (en lo adelante en este contrato denominada “LUKOIL”), representada en este acto por Vladimir Inine, mayor de edad identificado con la Cedula de Extranjeria C.E # 325.833, actuando en su capacidad de Representante Legal, por una parte; y
• (Nombre de la Compañía), (si fuere aplicable: “la filial Colombiana de”) compañía constituida bajo las leyes (país en el que la compañía fue constituida) aquí representada por ________________, mayor de edad identificado como aparece al pie de si firma, actuando en su capacidad de representante legal (en lo adelante en este contrato denominado "Contratista") por la otra parte.
Las partes han convenido celebrar el presente Contrato bajo las siguientes consideraciones.
CONSIDERACIONES
A. Considerando que LUKOIL proyecte emprender las operaciones exploratorias de perforación del pozo Le Lengupá 1 (en lo adelante en este contrato “Pozo”).
B. Considerando que LUKOIL necesite contratar el Suministro de Brocas de Perforación y Servicios de Ingeniería de Brocas de Perforación con el fin de poder ejecutar dichas operaciones.
C. Considerando que Contratista demuestre que cuenta con los recursos profesionales, técnicos y logísticos como también con la experiencia para proporcionar a LUKOIL el Suministro de Brocas de Perforación y Servicios de Ingeniería de Brocas de Perforación necesarios para llevar a cabo las operaciones exploratorias de perforaciones (incluyendo operaciones de muestreo cortas y extensas) en le Pozo.
Teniendo en cuenta las consideraciones expuestas aquí arriba las partes acuerdan que este Contrato deberá regirse bajo las leyes de la República de Colombia y bajo las siguientes cláusulas.
CLÁUSULAS
Cláusula 1. Objeto del Contrato
1.1. El Contratista se compromete a suministrar las siguientes herramientas y desarrollar los siguientes servicios para LUKOIL, hacienda uso de sus propios medios y personal, contando con una total autonomía técnica, financiera, administrativa y conforme a las licencias y permisos así requeridos para la realización de este Contrato:
(i) Suministro de Brocas de Perforación y Servicios de Ingeniería de Brocas de Perforación,
1.2. Estos servicios y herramientas (en lo adelante en este Contrato “Servicios”), deberán ser suministrados por el Contratista de acuerdo a las especificaciones, términos, condiciones y especificaciones técnicas establecidas de antemano en el Anexo 1 de este Contrato.
1.3. Los resultados de estos Servicios serán implementados en LUKOIL a partir del momento de la ejecución de la hoja de arranque principal. Todos los materiales, reportes, información básica o directa, registros de campo, dibujos, planos y otros documentos que se encuentren cubiertos bajo este Contrato y que se refiera a los Servicios, a cada parte de éste y cada parte de la misma, y todo aquello que esté dirigido en ese sentido serán, tan pronto sean enviados a LUKOIL, únicos y tomados como propiedad de LUKOIL. Si dichos materiales, reportes, información básica o directa, registros de campo, dibujos, cálculos y otros documentos contienen derechos de propiedad intelectual u otro tipo de propiedad intelectual, LUKOIL adquirirá dichos derechos de autor desde el momento de la entrega de los materiales, reportes, información básica o directa, registros de campo, dibujos, cálculos y otros documentos en mención. LUKOIL usará dicha información, resultados y material a su propia voluntad.
Cláusula 2. Valor
2.1. El valor de este Contrato no está especificado, dado que éste será el resultado de multiplicar los precios descritos en el Anexo 2 por los (items) puntos agendados o por el volumen de Servicios prestados convenientemente y vendidos por el Contratista y recibidos por LUKOIL a su entera satisfacción.
2.2. A pesar del valor indeterminado de este Contrato, las partes han estimado dicho valo, para todos los efectos legales que puedan ser aplicables, en la cantidad de dólares de USD $________ dólares. Sin importar este estimativo, el Contratista recibirá solamente las cantidades debidas como consecuencia de la efectiva prestación de Servicios, debidamente calculada de acuerdo con esta Sección.
2.3. Todos los precios cotizados en el Anexo 2 o en cualquier otra parte de este Contrato permanecerán fijos durante el término de este Contrato. El Contratista acepta como resultado de esto cualesquiera y todo riesgo asociado con cualquier cambio en los precios del mercado que puedan alterar los costes incurridos por el Contratista en la prestación de los Servicios. Además de esto, el Contratista expreso renuncia al derecho de solicitar un precio conforme al dispuesto en el Artículo 868 del Código de Comercio de Colombia. A menos que las Partes acuerden por escrito , los precios, las tarifas, los honorarios y las tarifas dispuestas en el Anexo II (según lo reajustado o renegociado si fuera aplicable) quedando comprendidos de cualquier y de todo costo directo o indirecto y de gastos que el Contratista pueda incurrir para la prestación de los Servicios, incluyendo pero no limitado a, transporte, combustible, materiales, equipo y personal requerido para la prestación de los Servicios.
2.4. LUKOIL rembolsará al Contratista únicamente aquellos bienes y (o) servicios, que no sean inherentes al Objeto de los Servicios de este Contrato, y que LUKOIL, particularmente el Departamento Financiero de LUKOIL, haya previa y expresamente autorizado al Contratista a adquirir o a comprar. EN ESTOS CASOS EL CONTRATISTA ACTUARA A COMO AGENTE ESPECIAL DE LOKOIL (MANDATORIO) PRA INCURRIR EN DICHOS GASTOS. LUKOIL NO PAGARA REEMBOLSOS AL CONTRATISTA SI ESTE NO ACTUA COMO SU AGENTE ESPECIAL Y SI NO SOLICITA Y PAGA LAS FACTURAS DEL CASO A NOMBRE DE LUKOIL. Para tal fin, el Contratista actuará en el nombre y a nombre de LUKOIL ante terceros y hará todas las retenciones del impuesto sobre la renta, IVA, timbres e ICA, para el momento en que se haga el pago o la consignación en bancos, y deberá suministrar la información preliminar a LUKOIL. El Contratista deberá identificar en sus libros constables los pagos y retenciones efectuadas a la cuenta de LUKOIL Y PUBLICARA LOS CERTIFICADOS DE RETENCION RELATIVOS A ESTE PERMITIENDO A LUKOIL ACREDITARSE ANTE LAS AUTORIDADES DE IMPUESTOS NACIONALES EL PAGO DE IMPUESTOS CON PAGOS DE REEMBOLSOS. LUKOIL podrá ajustar las retenciones no hechos por el Contratista, para el cual el último autorizará a e LUKOIL a deducir dichas cantidades de los pagos adeudados inclusive, o en su efecto el Contratista pagará esta suma a LUKOIL dentro de los treinta (30) días calendario a la fecha en la cual se hace la respectiva petición escrita. Los pagos hechos por el Contratista que no cumplan con las normas establecidas no serán reembolsados por parte de LUKOIL y/o estarán sujetos a una retención graduable.
Cláusula 3. Pagos y Retenciones
3.1. Los pagos mensuales se harán de acuerdo a la cantidad correspondiente a los Servicios prestados a cabalidad durante el mes anterior a LUKOIL, contra facturas presentadas por el Contratista bajo los términos y las condiciones de ésta Cláusula. LUKOIL hará todos los pagos a la siguiente cuenta bancaria sugerida por el Contratista.
Translation - English This services agreement (this "Agreement") is entered into as of ________, ___, 2007, by and between:
• LUKOIL Overseas Colombia Ltd., a company incorporated under the laws of the British Virgin Islands , with a Colombian branch duly established in Colombia by means of Public Deed #1597 of June 14, 2002 (hereinafter “LUKOIL”), herein represented by Vladimir Inine, of legal age identified with C.E # 325.833, acting in his capacity as legal representative, on the one part; and
• (Name of Company), (if applicable: “the Colombian branch of”) a company incorporated under the laws of (country of incorporation of company) herein represented by ________________, of legal age, identified as appears below his signature, acting in his capacity as legal representative (hereinafter "Contractor") on the other part.
The parties have entered into this Agreement taking into account the following considerations.
CONSIDERATIONS
A. Whereas LUKOIL projects to undertake exploratory drilling operations of the Lengupá 1 Well (hereinafter the “Well”).
B. Whereas LUKOIL needs to contract Bit Supply and Bits Engineering Services to undertake such operations.
C. Whereas the Contractor represents that it has the professional, technical and logistical resources and expertise to provide LUKOIL with the Bit Supply and Bits Engineering Services needed to undertake the exploratory drilling operations (including short and extensive testing operations) in the Well.
Taking into account the considerations above the parties agree that this Agreement shall be governed by the laws of the Republic of Colombia and the following provisions.
CLAUSES
Cláusula 1. Subject Matter
1.1. The Contractor undertakes to provide the following tools and perform the following services for LUKOIL, using its own means and personnel, with full technical, financial, administrative and executive autonomy, and subject to the licenses or permits required for Agreement’s performance:
(i) Bit Supply and Bits Engineering Services.
1.2. These tools and services, (hereinafter the “Services”), shall be provided by Contractor according to the specifications, terms, conditions and technical specifications set forth in Annex 1 of this Agreement.
1.3. Title to results of the Services shall be vested in LUKOIL from the moment of execution of a relevant take off sheet. All materials, reports, raw data, field logs, drawings, calculations and other documents covered by this Agreement in respect of the Services and each part thereof, and everything intended for incorporation therein, shall, as soon as they are delivered to LUKOIL be sole and unencumbered property of LUKOIL. If such materials, reports, raw data, field logs, drawings, calculations and other documents contain any copyrights or other intellectual property right, LUKOIL shall acquire such copyrights from the moment of delivery of according materials, raw data, field logs, drawings, calculations and other documents. LUKOIL shall use such data, results and material at LUKOIL’s will.
Cláusula 2. Value
2.1. The value of the Agreement is unspecified, as it will be that resulting from multiplying the prices described in Annex 2 by the items or volume of Services effectively provided and sold by the Contractor and received by LUKOIL to its satisfaction.
2.2. Notwithstanding the undetermined value of this Agreement, the parties have estimated such value, for all legal purposes that may be applicable, in the amount of USD $________ dollars. Regardless of this estimate, Contractor shall only receive the amounts owed as a consequence of the effective provision of the Services, calculated in accordance with this Section.
2.3. All prices quoted Annex 2 or elsewhere in this Agreement shall remain fixed for all the term hereof. Contractor hereby accepts any and all risks associated with any change in the market prices that may alter the costs incurred by Contractor in the provision of the Services. Further, Contractor expressly waives the right to request a price pursuant to the provisions of Article 868 of the Colombian Commercial Code. Unless otherwise agreed by the Parties in writing, the prices, rates, fees and tariffs set forth in Annex II (as readjusted or renegotiated if applicable) are inclusive of any and all direct and indirect costs and expenses the Contractor will incur to provide the Services, including but not limited to, transportation, fuel, materials, equipment and personnel required to provide the Services.
2.4. LUKOIL shall only reimburse the Contractor for those goods and (or) services, which are not inherent to the Services subject matter of the Agreement, and which LUKOIL, particularly LUKOIL’s financial department, has previously and expressly authorized the Contractor to acquire or purchase. IN THESE CASES THE CONTRACTOR SHALL ACT AS LUKOIL’S SPECIAL AGENT (MANDATARIO) TO INCUR IN SUCH EXPENSES, LUKOIL WILL NOT PAY REIMBURSEMENTS IF CONTRACTOR DID NOT ACT AS ITS SPECIAL AGENT AND DID NOT REQUESTED AND PAID RELEVANT INVOICES IN LUKOIL’S NAME. To such end, the Contractor shall act in the name and on behalf of LUKOIL vis-à-vis third parties and shall make all the withholdings on account of income tax, VAT (IVA), stamp tax and ICA, at the time of payment or bank deposit, and shall provide the foregoing information to LUKOIL. The Contractor shall identify in its accounting books the payments and withholdings made for the account of LUKOIL AND SHALL ISSUE THE RELEVANT WITHHOLDING CERTIFICATES THAT WILL ENABLE LUKOIL TO ACCREDIT BEFORE THE TAX AUTHORITY THE TAXES PAID WITH REIMBURSEMENT PAYMENTS. LUKOIL may adjust the withholdings not made by the Contractor, for which the latter shall authorize LUKOIL to deduct such amounts from the payments owed thereto, or the Contractor shall pay same to LUKOIL within thirty (30) calendar days following the date on which the respective written request is made. Payments made by the Contractor which do not meet the requirements established shall not be reimbursed by LUKOIL and/or will be subject to the applicable withholding.
Cláusula 3. Payments and Withholdings
3.1. Monthly payments shall be made in the amount corresponding to the Services provided to LUKOIL’s satisfaction during the previous month, against invoices submitted by the Contractor in the terms and conditions of this Clause. LUKOIL shall make all payments to the following bank account identified by the Contractor:
