Whenever the vote, consent or decision of a Limited Partner or Investor is required or permitted pursuant to this Agreement or under the Law, a Defaulting Partner or a limited partner of any Parallel Partnership that is in default of its obligations to such Parallel Partnership shall not be entitled to participate in such vote or consent, or to make such decision, and such vote, consent or decision shall be tabulated or made as if such Defaulting Partner were not a Limited Partner or Investor and such limited partner of any Parallel Partnership that is in default of its obligations to such Parallel Partnership were not an Investor.
