Terms Of Delivery And Shipment: Should the Seller, fail to effect delivery or shipment on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause 17 of this Contract, the Buyer shall have the right to cancel part or whole of the Contract and have the right to lodge claims unless the Contract stipulations have been modified with the Buyer's consent.
Inspection and Claim: The Inspection Certificate by the Seller shall be taken as the basis of delivery and payment. Should the Buyer assign others as surveyor, the charges thus incurred should be borne by the Buyer. In case discrepancy of the goods is found by the Buyer after arrival at the port of destination, claim must be lodged against the Seller within 30 days after arrival of goods at the port of destination being supported by the Inspection Certificate issued by a public surveyor approved by the Seller. The Seller shall then consider the claim in the light of the actual circumstances.
Force Majeure: If the Delivery of the contracted goods is prevented or delayed in whole or in part by reason of War, Earthquake, Flood, Storm, Plague, Heavy Snow, Embargoes, Riots, Civil Commotions or other unforeseen, inevitable and unpreventive cause of Force Majeure, the Buyer or Seller shall not be liable for non-shipment or delay shipment of the goods of this Contract. However, in such a case, the Buyer or Seller shall inform the Seller or Buyer immediately by fax or E-mail, if required, a certificate attesting the existence of such a cause or causes issued by a competent Authority.
Arbitration and Governing Law: All disputes in connection with this Contract or the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case under dispute may then be submitted to Singapore International Arbitration Center. The arbitration of the said Commission and the award made by the Commission shall be accepted as final binding upon both parties for setting the disputes. The fees for arbitration shall be borne by the losing party unless otherwise agreed upon. This Contract shall be governed by and construed in accordance with the laws of Singapore.
Additional Clause: If any of the abovementioned Clause is inconsistent with the following Additional Clause(s), the later to be taken as authentic.

Giấy chứng nhận Người thụ hưởng xác nhận rằng Giấy chứng nhận xuất xứ hàng hóa (MẪU E), Giấy chứng nhận chất lượng hàng hóa và các chứng từ không thể chuyển nhượng đã được gửi trực tiếp cho người yêu cầu qua DHL bên cạnh Tín dụng thư.
Điều khoản giao hàng và vận chuyển: Nếu Bên bán không thực hiện giao hàng hoặc vận chuyển đúng thời hạn quy định tại Hợp đồng này do các nguyên nhân ngoài nguyên nhân bất khả kháng theo quy định tại khoản 17 của Hợp đồng này, Bên mua có quyền hủy bỏ một phần hoặc toàn bộ Hợp đồng và có quyền khiếu nại trừ khi các quy định của Hợp đồng đã được sửa đổi với sự đồng ý của Bên mua.
Kiểm định và Khiếu nại: Giấy chứng nhận kiểm định của Bên bán sẽ được xem là cơ sở để thực hiện việc giao hàng và thanh toán. Nếu Bên mua chỉ định người khác làm giám định viên, các khoản phí phát sinh sẽ do Bên mua chịu. Trong trường hợp Bên mua nhận thấy có sự khác biệt về hàng hóa sau khi hàng hóa đến cảng nhận, Bên mua phải nộp khiếu nại cho Bên bán trong vòng 30 ngày sau khi hàng đến tại cảng nhận cùng với Giấy chứng nhận kiểm định được phát hành bởi một giám định viên công được Bên bán phê duyệt. Sau đó, Bên bán sẽ xem xét khiếu nại trong điều kiện thực tế.
Bất khả kháng: Nếu việc giao hàng hóa theo hợp đồng bị cản trở hoặc bị trì hoãn toàn bộ hoặc một phần do Chiến tranh, Động đất, Lũ lụt, Bão, Dịch hạch, Tuyết rơi nặng, Cấm vận, Bạo loạn, Dân biến hoặc nguyên nhân Bất khả kháng khác không lường trước được, không thể tránh khỏi và không thể ngăn ngừa, Bên mua hoặc Bên bán sẽ không phải chịu trách nhiệm đối với việc không giao hàng hoặc giao hàng chậm trễ theo Hợp đồng này. Tuy nhiên, trong trường hợp này, Bên mua hoặc Bên bán phải thông báo cho Bên bán hoặc Bên mua ngay lập tức bằng fax hoặc E-mail cùng với giấy chứng nhận chứng thực sự tồn tại của nguyên nhân hoặc các nguyên nhân gây ra sự kiện bất khả kháng do Cơ quan có thẩm quyền phát hành, nếu cần.
Trọng tài và Luật điều chỉnh: Tất cả các tranh chấp liên quan đến Hợp đồng này hoặc việc thực hiện Hợp đồng này sẽ được giải quyết một cách thiện chí bằng thương lượng. Trong trường hợp không giải quyết được, trường hợp tranh chấp có thể được gửi đến Trung tâm Trọng tài Quốc tế Singapore. Trọng tài của Ủy ban nói trên và phán quyết do Ủy ban đưa ra sẽ được chấp nhận là phán quyết cuối cùng có tính chất ràng buộc đối với cả hai bên nhằm giải quyết các tranh chấp. Lệ phí trọng tài sẽ do bên thua kiện chi trả trừ khi có thỏa thuận khác. Hợp đồng này sẽ được điều chỉnh và giải thích theo luật pháp Singapore.

ĐỘNG LỰC QUAN TRỌNG CỦA KINH TẾ VIỆT NAM
Trong những năm gần đây, kinh tế tư nhân (KTTN) đã có sự phát triển mạnh mẽ và từng bước khẳng định vai trò quan trọng trong nền kinh tế, trong hầu hết tất cả các lĩnh vực trọng yếu của nền kinh tế, góp phần thúc đẩy kinh tế đất nước và thương hiệu quốc gia.
Sự đóng góp không nhỏ
Khu vực KTTN đã có sự phát triển vượt bậc, đóng vị trí ngày càng quan trọng đối với sự phát triển nền kinh tế - xã hội thông qua tỷ trọng đóng góp của khu vực KTTN vào GDP, tổng vốn đầu tư xã hội và ngân sách được duy trì ổn định. Trong giai đoạn 2011-2018, khu vực KTTN đóng góp gần 40% GDP, đến năm 2018 đã vượt khu vực kinh tế Nhà nước và khu vực FDI, trở thành khu vực đóng góp lớn nhất vào GDP (42,1% GDP). Tỷ trọng đóng góp trong tổng vốn đầu tư xã hội từ khu vực KTTN liên tục tăng, từ mức 39% năm 2011 lên 43,3% năm 2018, bình quân giai đoạn đạt 39,3%. Thu Ngân sách NN từ khu vực KTTN tăng từ 29,4% tổng thu từ sản xuất kinh doanh của các thành phần kinh tế năm 2011 lên mức 38,2% năm 2018.
Số lượng DN ngoài Nhà nước tăng lên nhanh chóng, từ 346 nghìn DN năm 2011 lên 488 nghìn DN năm 2016 và khoảng 600 nghìn DN năm 2018, trên hầu hết các lĩnh vực kinh tế. Hai năm 2017 - 2018 có 258 nghìn DN mới được thành lập và hơn 60 nghìn DN tạm ngừng hoạt động quay trở lại nhờ môi trường kinh doanh được cải thiện và các chính sách hỗ trợ phát triển của Nhà nước. Vốn sản xuất kinh doanh bình quân giai đoạn 2011 - 2018 của khu vực kinh tế ngoài Nhà nước ở mức 50% tổng vốn sản xuất của các DN cả nước. Lao động trong khu vực KTTN chiếm đa số lực lượng lao động cả nước, bình quân giai đoạn 2011 - 2018 ở mức trên 80% tổng số lao động, riêng năm 2018 đạt gần 45,2 triệu người, chiếm 83,3% tổng số lao động cả nước.
Kinh tế tư nhân lấy nguồn vốn từ đâu?
Hiện nay, nguồn vốn cho khu vực KTTN bao gồm nguồn chính thức và phi chính thức. Nguồn chính thức chủ yếu gồm: (i) Vốn Nhà nước (dạng tín dụng được Chính phủ bảo lãnh hoặc vốn hỗ trợ phát triển chính thức - ODA) - nguồn vốn này khá hạn chế, chủ yếu dưới dạng quỹ hỗ trợ phát triển DN, quỹ bảo lãnh hoặc cho vay lại; (ii) Vốn tự có, vốn góp; (iii) Vốn vay (từ các định chế tài chính - ĐCTC hoặc từ thị trường vốn bằng cách phát hành cổ phiếu, trái phiếu); và (iv) Nguồn vốn khác như tín dụng thương mại, trả chậm... Nguồn vốn phi chính thức chủ yếu vay từ gia đình, bạn bè, người thân, “hụi”, “họ” và tín dụng đen...; ước tính khoảng 15-20% tổng dư nợ nền kinh tế.
Đối với nguồn vốn từ thị trường vốn, khối KTTN chủ yếu huy động từ thị trường cổ phiếu và trái phiếu. Tuy hai thị trường phát triển khá nhanh trong 5 năm qua, nhưng huy động vốn của DN qua kênh này chưa nhiều. Cụ thể, huy động vốn qua thị trường chứng khoán của các DN năm 2018 đạt 278.000 tỷ đồng, tăng 14% so với năm 2017, trong đó huy động vốn qua thị trường trái phiếu là 192.000 tỷ đồng và từ thị trường cổ phiếu là 86.000 tỷ đồng. Với thị trường trái phiếu, thị trường trái phiếu DN bắt đầu từ năm 2005, chủ yếu phát hành qua kênh riêng lẻ và quy mô vốn hóa đến năm 2018 đạt 474.000 tỷ đồng, bằng 8,6% GDP và tăng 53% so với năm 2017 nhưng vẫn còn nhỏ so với mức 21,5% GDP của ASEAN.

Over recent years Vietnam’s private sector has been evolving, successfully establishing its significant presence in most key economic areas as well as the nation branding.
Significant contribution
As an important booster of the socio-economy and making a great contribution to GDP, the private sector has helped maintain the stability of the total social investment and state budget. In the 2011-2018 period, the private sector’s value added to GDP reached nearly 40 percent, becoming larger than that of the FDI and public sectors in 2018 and making it the greatest contributor to GDP (42.1 percent). Its contribution rate in total social investment has been progressively growing from 39 percent in 2011 to 43.3 percent in 2018, averaging at 39.3 percent per year. State budget collection from the sector amongst the total collected increased from 29.4 percent in 2011 to 38.2 percent in 2018.
Non state-owned enterprises have increased vastly in most economic areas, from 346 thousand in 2011 to 488 thousand in 2016, and approximately 600 thousand in 2018. During the period 2017-18, 258 thousand enterprises were newly founded and 60 thousand were back in business, thanks to the improved business environment and development support policies from the government. Working capital of non-state sectors averaged at 50 percent of the total sectors in the period 2011-2018. In the same period, labour in the private sector accounted for over 80 percent of the whole country’s workforce, reaching 45.2 million in 2018, constituting 83.3 percent of the total.
Funding sources
The private sector’s funds currently come from official and non-official sources. Official sources include: first, state funds (in the form of government-guaranteed credits or official development assistance (ODA) - which are limited and essentially granted as an enterprise support fund, credit guarantee or on-lending; second, owner’s equity or stockholder’s equity; third, loans (from financial institutions or capital markets, raised from stock and/or bond issue); and fourth, others, such as trade credits, deferred credits, and more. Non-official sources may include family, friends, relatives, money pools (Vietnamese tontine), and shark loans - which together constitute 15-20 percent of the economy’s total outstanding loans.
Stock and bond markets, which have been surging throughout the last five years, supply the most funds for the private sector among the capital markets. However, the raised amount was not large at only VND278 trillion in 2018, representing a yearly increase of 14 percent, and constituting VND192 trillion from the bond markets and VND86 trillion from the stock markets. The bond and corporate bond markets dated back in 2005 with private placements as its main issue channel. Its market cap reached VND474 trillion in 2018, indicating an increase of 53 percent compared to 2017. This figure is equivalent to 8.6 percent of GDP, rather smaller than the ASEAN’s proportion of 21.5 percent.
