Source text - Spanish 1. ACERCA DE LA RELACIÓN CONTRACTUAL
Los presentes Términos y Condiciones (en adelante “Términos”) constituyen un acuerdo legal entre aquellas
personas que utilicen la presente plataforma registrándose en la misma (en adelante “Usuarios”) y YUBIAI en
proceso de formación y de sus miembros (en adelante “Yubiai”). Los presente regirán a todas las relaciones entre las
partes nombradas respecto al uso de la plataforma de servicios así como en la ubicación de YUBIAI que en un futuro
pueda existir y a las aplicaciones móviles también ofrecidas.
LEA ESTOS TÉRMINOS ATENTAMENTE ANTES DE ACCEDER A LOS SERVICIOS O UTILIZARLOS.
Estos términos constituyen una relación contractual entre usted y Yubiai. El acceso al sitio y el uso que usted haga del
mismo constituyen su aceptación de quedar obligado por todo lo aquí detallado. Dicha conformidad será plasmada a
través del click en aceptar (“click wrap agreement”) que realiza al primer ingreso en esta plataforma. Asimismo, la
conformidad será reafirmada al momento de vincular su wallet con nuestra app.
Si no acepta estos Términos, no tiene permitido ni podrá acceder al sitio ni utilizarlo. Yubiai podrá cancelar
inmediatamente estos Términos y dejar de ofrecer sus productos así como el acceso al sitio o a cualquiera de sus
partes o a la app, en cualquier momento y por cualquier motivo.
Los presentes Términos podrán ser modificados sin previo aviso por parte de Yubiai. Las modificaciones tendrán
plena validez a partir del momento en que el usuario presta su conformidad con click en aceptar (“click wrap
agreement”) del pop up que surgirá como aviso de la actualización realizada.
Sin perjuicio de los puntos siguientes y a solo efecto enunciativo y resumido, el Usuario se compromete a aceptar que
Yubiai no ofrece ningún tipo de garantía por los bienes o servicios ofrecidos en la plataforma; que Yubiai es
únicamente una plataforma de comunicaciones que facilita un método de vinculación P2P donde los bienes y
servicios son ofrecidos y realizados por terceros ajenos a Yubiai y que no tiene ningún tipo de responsabilidad por los
daños que ocasionaren o pudieren ocasionar los bienes o servicios o por los actos u omisiones de terceros; que acepta
liberar de responsabilidad a Yubiai de todo tipo de reclamos relacionados con el sitio, la app y/o con terceros,
manteniendo (tanto a la plataforma como a sus licenciantes) indemnes de cualquier tipo de reclamo haciéndose cargo
de los daños que su actuar u omisión pudiera generar; su aceptación a recurrir a los sistemas de arbitraje propios de la
plataforma; su consentimiento con respecto a la recolección, utilización, divulgación y transferencia de sus datos
conforme se indica en la Política de Privacidad, con sus oportunas modificaciones.
2. SERVICIOS
a. DE LA PLATAFORMA Y/O APP
Yubiai es solamente una plataforma y/o una aplicación cuya función es ser un sitio para que terceros puedan
vincularse entre sí. Los usuarios, de conformidad con lo establecido en estos Términos se identificarán y vincularán
con la plataforma y app por medio de sistemas brindados por terceros, limitándose Yubiai a permitir la celebración de
convenios entre los usuarios conforme se explicará más adelante.
Yubiai no ofrece ningún tipo de bien ni servicio de los expresados en la plataforma, salvo que se indique lo contrario,
los bienes y servicios son ofrecidos y realizados por los mismos usuarios, quienes se encuentran vinculados a la
plataforma por medio de su firma realizada a través de la app de su wallet así como con la identificación propia del
sistema Proof of Humanity. En ese sentido, Yubiai no asegura la vinculación del usuario con la persona física ni la
calidad del bien o servicio a brindar. Yubiai no es empleador, ni ningún tipo de vinculación laboral nos vincula con
ninguno de los usuarios.
Yubiai no tiene ningún tipo de responsabilidad por los servicios o el bien que el usuario lleve y/o entregue ni por las
garantías propias de las leyes de consumidor de cada país. Yubiai no obtiene ganancia alguna en relación a los bienes
o servicios de los usuarios y no forma parte de la cadena comercial de ninguno.
Yubiai solo se limita a utilizar sus contratos inteligentes como formas de mejorar el cumplimiento contractual de la
obligación y relaciones jurídicas existentes entre los usuarios contratantes. No utiliza ni se adueña de los criptoactivos
utilizados como medio de pago, los mismos quedarán bloqueados en el registro del sistema blockchain vinculado a la
dirección pública del contrato inteligente que utilizaren las partes, siendo luego desbloqueados y transferidos una vez
que el contratante brinde su consentimiento.
Yubiai podrá contactar a los usuarios a través de la aplicación de mensajería interna, de la plataforma, nuestros
representantes se identifican con la identidad de Yubiai. No solicitamos ningún pago, intercambio de contraseñas o
datos de acceso, si sospecha, comuníquese con soporte a través del mail o canal de Telegram oficial.
b. RELACIÓN ENTRE LOS USUARIOS.
La relación de los usuarios entre sí será la propia del contrato que ellos lleven adelante y estará enmarcada en las
características propias de su contratación. Ningún tipo de responsabilidad cae en cabeza de Yubiai por un
incumplimiento o disconformidad, ello sin perjuicio de los sistemas propios de arbitraje de la plataforma.
Yubiai se limita a conectar las personas sin poder controlar la veracidad de su información así como la veracidad de
la identidad digital del usuario contratante.
Para los sistemas de reputación Yubiai recurre a sistemas de terceros ajenos a su información.
Ante una disputa por incumplimiento o conflicto entre los usuarios, se recurrirá al sistema arbitral propio de Kleros,
el cual también es ajeno a cualquier tipo de responsabilidad de Yubiai.
Los usuarios pueden celebrar sus propios acuerdos aparte de estos Términos e incluso llevar su contratación por fuera
de la plataforma asumiendo ellos mismos los riesgos de una probanza de la relación comercial. Ello por cuanto
Yubiai puede ser un tercero de confianza probatorio para brindar todas las comunicaciones existentes entre los
usuarios y así ayudar a la decisión del tribunal arbitral respectivo.
En este sentido, los usuarios autorizan a Yubiai a resguardar los mensajes e intercambio comunicacional entre las
partes mientras dure la negociación y por 10 días posteriores y a entregarlo ante el tribunal arbitral ante el primer
requerimiento. Los archivos generados por el chat, serán resguardados tanto en la plataforma fleek como en google
cloud propiedad de Yubiai, estando a disposición de las partes previo requerimiento por los canales de comunicación
nombrados.
Los Usuarios son los únicos y exclusivos responsables de asegurarse de cumplir las obligaciones contractuales
asumidas entre ellos. Su conducta debe cumplir con todas las leyes nacionales, internacionales, normas, ordenanzas y
reglamentarios acerca del bien o servicio contratado. Si uno de los Usuarios no cumple con su parte contractual, será
el otro contratante el único responsable de ejercer los derechos que pudiera tener, Yubiai no es responsable de ejercer
derechos en virtud de la relación generadas entre usuarios o ante daños a una persona o propiedad.
Ninguna relación laboral existe entre los usuarios y Yubiai como tampoco entre los usuarios entre sí, limitándose la
misma simplemente a una contratación eventual ya sea para la adquisición de un bien o la locación de un servicio
determinado.
Ninguna de las disposiciones de estos Términos deberá ser interpretada como si constituyera una empresa conjunta,
una asociación o una relación empleador-empleado entre Yubiai y alguno de los Usuarios.
c. IDENTIDAD DE USUARIOS.
La identidad de los usuarios no puede ser verificada en su totalidad por Yubiai. Los Usuarios se conectan a la
plataforma vinculándose por medio de su dirección pública o wallet utilizando alguna aplicación al respecto (ej.:
Metamask). Previamente los usuarios debieron haber sido verificados en el sistema PoH. Sin embargo, dicho sistema
no verifica que la persona sea quien dice ser y, por lo tanto, Yubiai no puede asumir ni asume ninguna
responsabilidad por la precisión o la veracidad de la identidad, la información de la verificación de antecedentes o la
información proporcionada a través del sitio o app de Yubiai.
Respecto a la reputación de los Usuarios, tampoco depende de Yubiai ni de ningún sistema de scoring propio de la
plataforma o la app, para esto Yubiai recurre a empresas terceras que también brindarán su información conforme la
vinculación con la wallet. De modo tal que ante la imposibilidad del Usuario de acceder a su wallet, también perderá
toda la información vinculada con sus datos cargados en Yubiai, desligando a la misma de todo tipo de
responsabilidad, debiendo el Usuario crear uno nuevo que no tendrá los puntos de reputación de su anterior registro.
Al utilizar la plataforma o app de Yubiai usted acepta liberar a Yubiai de toda responsabilidad o daño que pudiera
surgir a partir de los servicios profesionales de los Usuarios. Yubiai no es responsable de la conducta, en línea o fuera
de línea, de ninguno de los Usuarios, incluidos los proveedores externos y no será responsable de ninguna
reclamación, lesión o daño que surja en relación con los servicios contratados entre los Usuarios.
d. LICENCIA.
Sujeto al cumplimiento de estos Términos, Yubiai le otorga a usted una licencia limitada, no exclusiva, no
sublicenciable, revocable e intransferible para acceder y utilizar el sitio o app de Yubiai en su dispositivo personal y
acceder y utilizar cualquier contenido, información y materiales relacionados que pudieran estar disponibles a través
del sitio o app de Yubiai, siendo los mismos siempre para uso personal y no comercial o profesional.
Yubiai se reserva todos los derechos que no se otorguen expresamente en el presente.
e. RESTRICCIONES.
Usted no podrá: (i) eliminar avisos de derechos de autor o marcas comerciales u otro aviso de propiedad intelectual
de ninguna parte del Sitio o app de Yubiai; (ii) reproducir, modificar, crear obras derivadas, distribuir, licenciar,
alquilar, vender, revender, transferir, mostrar públicamente, presentar públicamente, transmitir, publicar, difundir o
explotar de cualquier otra manera el Sitio o app de Yubiai, excepto según lo permitido expresamente por Yubiai; (iii)
descompilar, realizar ingeniería inversa o desarticular el Sitio o app de Yubiai; (iv) vincular, duplicar o utilizar
marcos en ninguna parte del Sitio o app de Yubiai sin su expresa autorización; (v) introducir o implementar
programas o secuencias de comandos con el fin de extraer información, indexar, escudriñar o de otro modo realizar
minería de datos en ninguna parte del Sitio o app de Yubiai, o dificultar o impedir indebidamente la operación y/o
funcionalidad de cualquier aspecto del Sitio o app de Yubiai; ni (vi) intentar obtener acceso no autorizado o afectar
cualquier aspecto del Sitio o app de Yubiai o sus sistemas o redes relacionados.
f. SERVICIOS Y CONTENIDO DE TERCEROS.
Es posible que pueda accederse al sitio o app de Yubiai o que el sitio o app esté disponible en relación con servicios y
contenido de terceros (publicidad incluida) que Yubiai no controla. Usted reconoce que pueden aplicarse otros
términos de uso y políticas de privacidad al uso que haga de los servicios y el contenido de terceros. Yubiai no
respalda los servicios ni el contenido de terceros y en ningún caso será responsable de los mismos.
g. PROPIEDAD.
El sitio y la app de Yubiai y todos los derechos establecidos allí son y seguirán siendo propiedad de Yubiai o de los
miembros de Yubiai. Ni estos Términos ni el uso que haga del sitio o app de Yubiai le transferirán u otorgarán
derechos: (i) sobre el sitio o app de Yubiai o relacionados con él, excepto la licencia limitada otorgada anteriormente;
ni (ii) a utilizar o hacer referencia de alguna manera a los nombres de la compañía, logotipos, nombres de productos y
servicios, marcas comerciales o marcas de servicios de Yubiai o los licenciantes de Yubiai.
3. SOBRE EL USO DE LOS SERVICIOS
a. CUENTAS.
Para poder utilizar la plataforma, sitio y/o app de Yubiai usted debe registrarse y mantener una cuenta personal y
activa. Es requisito indispensable para la apertura de la cuenta que usted tenga al menos 18 años de edad o haber
alcanzado la mayoría de edad legal en su jurisdicción.
Para registrarse, todas las interacciones se harán dentro de la plataforma por medio de su wallet (public address)
vinculada. Sin embargo, la empresa se reserva la posibilidad de solicitarle determinada información que deberá
entregar a Yubiai como su nombre, dirección, número de teléfono celular, así como también su dirección pública de
su wallet.
Usted acepta mantener información exacta, completa y actualizada en su Cuenta. La falta de mantenimiento de
información de Cuenta exacta, completa y actualizada, puede dar lugar a su inhabilitación para acceder y utilizar el
sitio y/o app de Yubiai
Usted es responsable de toda la actividad que tenga lugar en su Cuenta, y acepta mantener la seguridad y
confidencialidad del nombre de usuario y la contraseña de su Cuenta en todo momento.
A menos que Yubiai permita lo contrario por escrito, usted solo puede tener una Cuenta.
Usted como Usuario se compromete a establecer la veracidad de su información compartida como sus experiencias,
habilidades y trabajos.
b. REQUISITOS Y CONDUCTA DEL USUARIO.
El Servicio no está disponible para ser utilizado por personas menores de 18 años. Usted no puede autorizar a terceros
a utilizar su Cuenta, y no puede permitir que personas menores de 18 años reciban u ofrezcan bienes o servicios a su
nombre a menos que estén en compañía suya. Usted no puede ceder ni transferir de alguna otra manera su Cuenta a
ninguna persona o entidad. Usted acepta cumplir con todas las leyes aplicables al utilizar el sitio o la app de Yubiai
(incluidas, a título enunciativo y no taxativo, todas las leyes laborales aplicables), y solo podrá utilizar el sitio y/o app
de Yubiai para relaciones contractuales con objeto lícito (p. ej., no se puede utilizar para la venta de bienes prohibidos
por la legislación de alguna de las partes).
Durante el uso que haga del sitio y/o app de Yubiai, usted se compromete a que no causará problemas, molestias,
inconvenientes ni daños a la propiedad, ya sea con respecto a los otros Usuarios, terceros o a cualquier otra parte.
Será requisito para acceder a los servicios de la plataforma, sitio y/o app que usted vincule su wallet con el contrato
inteligente propio de Yubiai, si se negase se le prohibirá el acceso a los servicios. Asimismo, en algunos casos, es
posible que se le solicite en más de una oportunidad que se vincule así como la necesariedad de que brinde una
prueba de su identidad para acceder o utilizar el sitio y/o app de Yubiai, y usted acepta que se le negará el acceso o el
uso de la plataforma si se rehúsa a tal situación.
c. USO ACEPTABLE.
Durante la vigencia de este Acuerdo, usted podrá utilizar el sitio y/o app de Yubiai para su uso personal únicamente.
Usted podrá utilizar el sitio y/o app para contratar servicios de otros usuarios únicamente con respecto a la ubicación
en donde se encuentra legalmente autorizado para recibir u ofrecer los servicios. Usted no podrá utilizar la plataforma
de Yubiai para ningún otro fin o en relación con cualquier otra actividad comercial sin nuestro consentimiento
expreso previo por escrito. Usted no podrá utilizar el sitio, la plataforma y/o la app de Yubiai en violación de leyes,
normas, ordenanzas o reglamentaciones.
Usted acepta que una solicitud de Servicios y/o Bienes constituye una oferta, que se considera aceptada únicamente
cuando recibe una confirmación de la solicitud y comienza, en ese momento, a ejecutarse el contrato inteligente.
Usted acepta y comprende que el contrato inteligente se ejecutará automáticamente reteniendo el pago y liberándolo
recién cuando el contratante confirme que el servicio fue ejecutado o el bien entregado. Al momento de llevar
adelante la vinculación contractual, las partes establecerán un plazo mínimo y máximo de tiempo. Dicho plazo
mínimo no podrá nunca ser menor a dos días, mientras que el plazo máximo nunca podrá ser superior a 30 dias.
En caso que las partes no coordinen ni establezcan algún máximo y mínimo de plazo, se fijará por defecto un plazo
estandard máximo de 10 días corridos.
En caso de que se haya fijado el plazo por defecto y, la parte contratada no pueda cumplir con el mismo, podrá
solicitar, por única vez, una prórroga de otros 10 días corridos. Luego de lo cual ya deberá recurrir al arbitraje entre
las partes establecido según la claúsula nombrada a tal fin.
Para el supuesto caso de cuestiones sobre reembolsos, se aplicará lo dicho en los párrafos anteriores respecto a que
las partes podrán pactar un plazo máximo de disputa con un estandard de 10 días corridos luego de los cuales se
abrirá el sistema de arbitraje pertinente conforme la claúsula respectiva.
Usted acepta que tratará a los otros Usuarios de manera cortés y legal, y que cooperará razonablemente con los otros
Usuarios tanto para llevar adelante los servicios como ante eventuales disputas.
Los Usuarios aceptan que brindarán sus servicios una vez que hayan aceptado una solicitud de manera profesional y
con garantía de calidad, y que prestarán los mismos de manera cortés y legal y haciendo el mejor uso de sus
habilidades.
La plataforma de Yubiai puede contener perfiles, sistemas de correo electrónico, blogs, carteleras de mensajes,
solicitudes, anuncios de trabajos, áreas de chat, grupos de noticias, foros, comunidades y/o otros espacios para
mensajes o comunicaciones (“Áreas de la Comunidad”) que le permiten comunicarse con otros usuarios. Usted
puede utilizar estas áreas de la comunidad únicamente para enviar y recibir mensajes y materiales que sean
pertinentes y apropiados en función de cada foro en particular. Usted NO deberá usar el Sitio de Yubiai (incluida, a
título enunciativo y no taxativo, cualquier Área de la Comunidad) para hacer lo siguiente:
● Difamar, abusar, acosar, acechar, amenazar o violar de otra manera derechos legales (como por ejemplo,
los derechos de privacidad y publicidad, entre otros) de otras personas, incluido el personal de Yubiai.
● Publicar, anunciar, subir, distribuir o diseminar tópicos, nombres, materiales o información indecentes,
difamatorios, transgresores, obscenos o ilegales, ni materiales, información o contenido que involucren la
venta de artículos falsificados o robados.
● Realizar cualquier acción que viole la legislación local, estatal, nacional o internacional.
● Subir archivos que contengan software u otro material que viole derechos de propiedad intelectual (o
derechos de privacidad o publicidad) de terceros.
● Subir archivos que contengan virus, troyanos, archivos corruptos o cualquier otro software similar que
pudiera dañar la operación de una computadora ajena.
● Publicar u subir contenido respecto del cual no ha obtenido los derechos o permisos necesarios para
utilizarlo en consecuencia.
● Publicitar u ofrecer a la venta cualquier producto o servicio con fines comerciales a través del sitio y/o app
de Yubiai que no correspondan a los servicios ofrecidos a través del sitio y/o app de Yubiai.
● Realizar o enviar encuestas, certámenes, esquemas piramidales o cartas de cadena.
● Hacerse pasar por otra persona o usuario o permitir que otra persona o entidad utilice su identidad para
publicar o ver comentarios o utilizar de otra manera su cuenta.
● Publicar la misma nota en forma reiterada (mensajes basura o “Spam”). El envío de Spam está
estrictamente prohibido.
● Descargar archivos publicados por otros usuarios cuando el usuario tuviera o razonablemente debiera tener
conocimiento de que no pueden distribuirse legalmente a través del sitio y/o app de Yubiai.
● Restringir o inhibir a otros usuarios para que no puedan utilizar y disfrutar de las Áreas de la Comunidad.
● Insinuar o afirmar que las declaraciones que usted hace están respaldadas por Yubiai, sin el consentimiento
previo por escrito de Yubiai.
● Utilizar un robot, araña web, procesos manuales y/o automáticos o dispositivos para realizar minería de
datos, rastreos, extraer información o indexar el Sitio de Yubiai de alguna manera.
● Hackear o interferir en la plataforma, el sitio y/o app de Yubiai, sus servidores o cualquier red conectada.
● Adaptar, alterar, licenciar, sublicenciar o traducir el sitio de Yubiai para su propio uso personal o comercial.
● Eliminar o alterar, visualmente o de otro modo, derechos de autor, marcas comerciales o marcas de
propiedad exclusiva y derechos de propiedad intelectual que son propiedad de Yubiai.
● Subir contenido que sea ofensivo y/o dañino, incluido, a título enunciativo y no taxativo, contenido que
defienda, respalde, apruebe o promueva el racismo, la intolerancia, el odio o el daño físico de cualquier
clase contra individuos o grupos de individuos.
● Subir contenido que ofrezca materiales o acceso a materiales que explotan a personas menores de 18 años
de manera abusiva, violenta o sexual.
● Utilizar la plataforma, el sitio y/o la app de Yubiai para reclutar para otros negocios, sitios web o servicios,
o contactar de otro modo a los usuarios para empleos, contrataciones u otros fines no relacionados con el
uso del Sitio de Yubiai según lo establecido en el presente.
● Utilizar el Sitio de Yubiai para recopilar nombres de usuarios y/o direcciones de correo electrónico de
usuarios por medios electrónicos o de otro tipo.
● Registrarse bajo otro nombre de usuario o identidad luego de que su cuenta haya sido cancelada o cerrada.
Usted comprende que todas las publicaciones que realiza en las Áreas de la Comunidad serán públicas y que usted
será identificado públicamente por su nombre o identificación de inicio de sesión al comunicarse en las Áreas de la
Comunidad, y que Yubiai no será responsable de la acción de los usuarios con respecto a información o materiales
publicados en las Áreas de la Comunidad.
e. CONTENIDO PROVISTO POR LOS USUARIOS
Yubiai podrá, a su exclusiva discreción, permitir que los Usuarios oportunamente envíe, suba, publique o de otra
manera ponga a disposición de Yubiai a través de su plataforma información y contenido escrito, auditivo y/o visual,
lo cual incluye comentarios y opiniones relacionados con el sitio y/o app de Yubiai, inicio de solicitudes de asistencia
y publicación de entradas para competencias y promociones (“Contenido”). Todo el contenido provisto por usted
continúa siendo de su propiedad. Sin embargo, al brindar Contenido a Yubiai, usted otorga a Yubiai una licencia
mundial, perpetua, irrevocable, transferible y sin regalías, con el derecho a sublicenciar, utilizar, reproducir,
modificar, distribuir, mostrar públicamente y presentar públicamente dicho Contenido en cualquier formato y canal
de distribución conocido actualmente o desarrollado en el futuro para los fines de prestar servicios a través de la
plataforma y sitio y/o app de Yubiai o de otra manera en relación con el negocio de Yubiai
Usted declara y garantiza a Yubiai que es el único y exclusivo propietario de todo el Contenido o bien que tiene todos
los derechos, licencias, consentimientos y autorizaciones necesarios para otorgar a Yubiai la licencia sobre el
Contenido según lo establecido anteriormente, y que su Contenido: (a) no será falso, inexacto, incompleto o
engañoso; (b) no será fraudulento o involucrará la venta de artículos falsificados o robados; (c) no violará derechos de
autor, patentes, marcas comerciales, secretos comerciales u otros derechos de propiedad intelectual o derechos de
publicidad o privacidad de terceros; (d) no violará ninguna ley, norma, ordenanza o reglamentación (incluidas, a
título enunciativo y no taxativo, aquellas que rigen el control de exportaciones, la protección del consumidor, la
competencia desleal, la antidiscriminación o la publicidad engañosa); (e) no será difamatorio, calumnioso,
amenazante ilícitamente u hostigador ilícitamente; (f) no será obsceno ni contendrá pornografía infantil o será
perjudicial para menores; (g) no contendrá virus, troyanos, gusanos informáticos, bombas lógicas, robots de
cancelación u otras rutinas de programación informática que tengan por objeto dañar, interferir perjudicialmente,
interceptar de manera oculta o expropiar cualquier sistema, dato o información personal; y (h) no generará
responsabilidad alguna por parte de Yubiai ni causará la pérdida (total o parcial) por parte de Yubiai de los servicios
de sus proveedores de servicios de internet u otros socios o proveedores. Yubiai podrá revisar, controlar o eliminar
Contenido a su exclusiva discreción —pero no tendrá la obligación de hacerlo—, en cualquier momento y por
cualquier motivo, sin tener que brindarle notificación alguna.
f. DISPOSITIVOS Y ACCESO A LA RED.
Usted es responsable de obtener el acceso a la red de datos necesario para utilizar la plataforma, el sitio y/o app de
Yubiai. Pueden aplicarse las tasas y los cargos de datos y mensajería de su red móvil si accede o utiliza la plataforma
o app de Yubiai desde un dispositivo con capacidad inalámbrica.
Usted es responsable de adquirir y actualizar los dispositivos o el hardware compatible necesario para acceder y
utilizar las app y el sitio y subsitios de Yubiai.
Yubiai no garantiza que el sitio y/o la app y/o cualquiera de sus partes, funcionarán en algún dispositivo o hardware
en particular. Asimismo, el sitio y/o la app pueden presentar un mal funcionamiento o retrasos inherentes al uso de
internet y las comunicaciones electrónicas.
4. PAGO
Yubiai no obtiene ningún porcentaje ni abono por los servicios que brinden los usuarios. No forma parte de la cadena
comercial. Los pagos que realicen los Usuarios entre sí por la adquisición de bienes o servicios son del exclusivo
contrato entre ellos.
Yubiai no cobrará ningún tipo de feed ni por transacción ni por publicación hasta nuevo aviso. Previo a comenzar a
cobrar algún feed, Yubiai generará un previo aviso de 10 días a los Usuarios, manifestándoles la tarifa a cobrar por el
servicio a partir de dicho momento, pudiendo cualquier Usuario darse de baja en su cuenta sin costo alguno.
Yubiai en ningún caso será responsable de la falta de pago o el retraso en los pagos por parte de los Usuarios.
Yubiai se reserva el derecho a (i) establecer, eliminar y/o revisar los Cargos por cualquier servicio o producto
obtenido a través del uso del sitio y/o app de Yubiai en cualquier momento y a su exclusiva discreción.
El Usuario reconoce y acepta que los Cargos aplicables en determinadas áreas geográficas pueden aumentar
significativamente durante épocas de alta demanda. Yubiai tomará medidas razonables para informarle acerca de los
Cargos que pudieran aplicarse.
Yubiai podrá, cuando lo considere oportuno, brindar a ciertos Usuarios ofertas y descuentos promocionales que
pueden dar lugar al cobro de montos diferentes por servicios o productos iguales o similares obtenidos a través del
uso del Sitio de Yubiai.
5. PROPIEDAD INTELECTUAL; DERECHOS DE AUTOR; CONFIDENCIALIDAD
a. DERECHOS DE PROPIEDAD INTELECTUAL.
Todo el texto, la gráfica, el contenido editorial, los datos, el formato, los gráficos, los diseños, el lenguaje HTML, el
aspecto y la apariencia, las fotografías, la música, los sonidos, las imágenes, el software, los videos, los tipos de letra
y otro contenido (colectivamente, “Material Exclusivo”) que vea o lea a través de la plataforma y/o el sitio y/o la app
de Yubiai es propiedad de Yubiai, con la exclusión del Contenido que Yubiai tiene el derecho a usar según lo descrito
anteriormente. El Material Exclusivo está protegido en todas sus formas, medios y tecnologías conocidos actualmente
o desarrollados en el futuro. Yubiai es propietaria de todo el Material Exclusivo, así como de la coordinación,
selección, disposición y mejora de dicho Material Exclusivo como Obra Colectiva en virtud de las leyes del lugar. El
Material Exclusivo está protegido por leyes nacionales e internacionales en materia de derechos de autor, patentes y
otros derechos y leyes sobre propiedad intelectual. Usted no puede copiar, descargar, utilizar, rediseñar, reconfigurar
ni retransmitir ningún elemento del sitio y/o app de Yubiai sin el consentimiento expreso previo por escrito de Yubiai
y, si corresponde, del titular de los derechos sobre el Contenido. Cualquier uso de este Material Exclusivo, excepto el
que se permite en virtud del presente, está expresamente prohibido sin el permiso previo de Yubiai y, si corresponde,
del titular de los derechos sobre el Contenido.
Las marcas de servicio y las marcas comerciales de Yubiai, incluidas, a título enunciativo y no taxativo, “Yubiai” y
los logotipos de Yubiai son marcas de servicio de propiedad de Yubiai. Cualquier otra marca comercial, marca de
servicio, logotipo y/o nombre comercial que aparezca en el sitio y/o app de Yubiai son propiedad de sus respectivos
dueños. Usted no puede copiar ni utilizar ninguna de estas marcas, logotipos o nombres comerciales sin el
consentimiento expreso previo por escrito del propietario.
b. INFORMACIÓN CONFIDENCIAL.
Usted reconoce que la Información Confidencial (según se define a continuación) es un activo valioso, especial y
único de Yubiai y acepta que no divulgará, transferirá, utilizará (ni intentará inducir a otros a divulgar, transferir o
utilizar) Información Confidencial para fines que no sean la divulgación a sus empleados y agentes autorizados que se
encuentran obligados a mantener la confidencialidad de la Información Confidencial. Usted deberá notificar
inmediatamente a Yubiai por escrito de cualquier circunstancia que pudiera constituir una divulgación, transferencia
o uso no autorizados de la Información Confidencial. Usted deberá realizar todo lo posible para proteger la
Información Confidencial de la divulgación, transferencia o uso no autorizados.
El término “Información Confidencial” se referirá a todos los secretos comerciales e información confidencial y de
propiedad exclusiva de Yubiai y a toda otra información y datos de Yubiai que en general no sean de conocimiento
del público o de otros terceros que pudieran obtener un valor, económico o de otro tipo, de su uso o divulgación. Se
considerará que la Información Confidencial incluye datos técnicos, know-how, estudios, planos de productos,
productos, servicios, clientes, mercados, software, desarrollos, invenciones, procesos, fórmulas, tecnología, diseños,
dibujos, ingeniería, información de configuración de hardware, marketing, finanzas u otra información comercial
divulgada directa o indirectamente por escrito, en forma oral o a través de dibujos u observaciones.
6. EXENCIONES DE RESPONSABILIDAD; LIMITACIÓN DE RESPONSABILIDAD;
INDEMNIDAD
a. EXENCIÓN DE RESPONSABILIDAD.
Los productos y servicios adquiridos u ofrecidos (ya sea mediante recomendaciones y sugerencias o no) a través del
sitio y/o app de Yubiai se ofrecen “EN EL ESTADO EN QUE SE ENCUENTRAN” y sin ninguna garantía de ningún
tipo por parte de Yubiai u otras personas (a menos que, con respecto a estas otras personas únicamente, se haya
brindado expresamente e inequívocamente por escrito por parte de un tercero designado para un producto específico).
EL USO QUE HAGA EL USUARIO DE LOS SERVICIOS DE YUBIAI LO REALIZA BAJO SU PROPIO
RIESGO. EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEGISLACIÓN APLICABLE, LOS SERVICIOS
DE YUBIAI SE OFRECEN SIN GARANTÍAS DE NINGÚN TIPO, YA SEAN EXPRESAS O IMPLÍCITAS,
INCLUIDAS, A TÍTULO ENUNCIATIVO Y NO TAXATIVO, LAS GARANTÍAS IMPLÍCITAS DE APTITUD
PARA LA VENTA, IDONEIDAD PARA UN FIN DETERMINADO O LEGALIDAD. SIN PERJUICIO DE LO
INDICADO ANTERIORMENTE, YUBIAI Y SUS LICENCIANTES NO GARANTIZAN QUE EL CONTENIDO
SEA EXACTO, FIDEDIGNO O CORRECTO; QUE LOS SERVICIOS CUMPLIRÁN LOS REQUERIMIENTOS
DE LOS USUARIOS; QUE LOS SERVICIOS ESTARÁN DISPONIBLES EN UN MOMENTO O UBICACIÓN
EN PARTICULAR, SIN INTERRUPCIONES O DE MANERA SEGURA; QUE LOS DEFECTOS O ERRORES
SERÁN CORREGIDOS; NI QUE LOS SERVICIOS ESTÁN LIBRES DE VIRUS U OTROS COMPONENTES
DAÑINOS. YUBIAI NO GARANTIZA LA CALIDAD, IDONEIDAD, SEGURIDAD NI HABILIDAD DE LOS
USUARIOS CONTRATANTES. EL USUARIO ACEPTA QUE EL RIESGO TOTAL QUE SURGE DE SU USO
DE LOS SERVICIOS Y DE LOS SERVICIOS O PRODUCTOS SOLICITADOS EN RELACIÓN CON ELLOS
CORRE EXCLUSIVAMENTE POR CUENTA DEL USUARIO EN LA MÁXIMA MEDIDA PERMITIDA EN
VIRTUD DE LA LEGISLACIÓN APLICABLE. USTED ACEPTA QUE YUBIAI NO SERÁ RESPONSABLE DE
SUS ACCIONES U OMISIONES NI DE LAS ACCIONES U OMISIONES DE CUALQUIER OTRO USUARIO.
b. LIMITACIÓN DE RESPONSABILIDAD.
YUBIAI NO SERÁ RESPONSABLE DE DAÑOS INDIRECTOS, INCIDENTALES, ESPECIALES,
EJEMPLARES, PUNITIVOS O CONSECUENTES, ENTRE LOS QUE SE INCLUYEN LA PÉRDIDA DE
INGRESOS, LA PÉRDIDA DE DATOS, LESIONES PERSONALES O DAÑOS A LA PROPIEDAD,
RELACIONADOS CON EL USO DE LOS SERVICIOS O COMO CONSECUENCIA DE ÉL, INCLUSO SI
YUBIAI HABÍA SIDO INFORMADA SOBRE LA POSIBILIDAD DE TALES DAÑOS. YUBIAI NO SERÁ
RESPONSABLE DE DAÑOS, PERJUICIOS O PÉRDIDAS QUE SURJAN DE: (i) SU PRESTACIÓN, USO O
DEPENDENCIA DE LOS SERVICIOS DE YUBIAI O SU INCAPACIDAD PARA ACCEDER O UTILIZAR LOS
SERVICIOS DE YUBIAI; O (ii) CUALQUIER TRANSACCIÓN O RELACIÓNES ENTRE LOS USUARIOS,
INCLUSO SI YUBIAI HABÍA SIDO INFORMADA SOBRE LA POSIBILIDAD DE TALES DAÑOS. YUBIAI
NO SERÁ RESPONSABLE DEL RETRASO O EL INCUMPLIMIENTO QUE RESULTE DE CAUSAS QUE
EXCEDEN EL CONTROL RAZONABLE DE YUBIAI. EL USUARIO RECONOCE QUE ES POSIBLE QUE
AQUEL OTRO USUARIO QUE LE OFRECE SERVICIO NO CUENTE CON LICENCIAS O
AUTORIZACIONES PROFESIONALES. EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE YUBIAI
FRENTE A USTED EN RELACIÓN CON LOS SERVICIOS POR TODOS LOS DAÑOS, PÉRDIDAS Y CAUSAS
DE ACCIÓN EXCEDERÁ LOS CARGOS Y COSTOS TOTALES PAGADOS O RECIBIDOS POR USTED A
TRAVÉS DE YUBIAI DURANTE LOS SEIS (6) MESES ANTERIORES AL MOMENTO EN QUE SE
PRESENTÓ LA RECLAMACIÓN.
YUBIAI NO TIENE RESPONSABILIDAD ALGUNA FRENTE A LOS USUARIOS EN RELACIÓN CON LOS
PRODUCTOS O SERVICIOS DE LOGÍSTICA OFRECIDOS POR OTROS USUARIOS O CON RESPECTO AL
LOS SERVICIOS INCLUIDA LA FALTA DE PAGO.
LAS LIMITACIONES Y LA EXENCIÓN DE RESPONSABILIDAD QUE SE ESTABLECEN EN ESTA
SECCIÓN NO PRETENDEN LIMITAR LA RESPONSABILIDAD NI ALTERAR LOS DERECHOS DEL
USUARIO COMO CONSUMIDOR QUE NO PUEDEN EXCLUIRSE EN VIRTUD DE LA LEGISLACIÓN
APLICABLE.
c. INDEMNIDAD.
El Usuario acepta y libera de responsabilidad y se compromete a mantener indemne a Yubiai y sus ejecutivos,
directores, empleados y agentes de cualquier reclamación, demanda, pérdida, responsabilidad y gasto (incluidos, a
título enunciativo y no taxativo, los honorarios de abogados) que surjan o se relacionen con: (i) su uso del Sitio y/o
app de Yubiai o los servicios o productos obtenidos o proporcionados o vendidos a través de su uso del Sitio de
Yubiai, incluido cualquier dato o contenido transmitido o recibido por usted, o el acceso o uso del Sitio y/o app de
Yubiai por un tercero con su nombre de usuario y contraseña; (ii) su incumplimiento o violación de cualquiera de
estos Términos o de leyes, normas o reglamentaciones aplicables (incluidas, a título enunciativo y no taxativo, las
leyes en materia impositiva o laboral); (iii) el uso de su Contenido por parte de Yubiai; o (iv) su violación de
derechos de terceros.
7. DISPUTAS ENTRE USUARIOS
Es obligación del Usuario llevar a cabo todas las investigaciones que considere necesarias o pertinentes antes de
proceder con cualquier transacción en línea o fuera de línea con cualquier otro Usuario con quien lleve adelante la
contratación del servicio o bien.
Yubiai no será responsable de pérdidas o daños de ningún tipo que surjan como consecuencia de dichas
comunicaciones.
Si hubiera alguna disputa entre los Usuarios, se recurrirá al sistema de arbitraje establecido por la plataforma Kleros.
La parte que desee iniciar el arbitraje deberá iniciar el proceso de solicitud por medio de dicha plataforma accediendo
a https://court.kleros.io/ . Los árbitros serán designados por medio del sistema generado por la plataforma. Los
árbitros emitirán un laudo dentro del plazo especificado en las normas propias de Kleros. La decisión del tribunal
arbitral incluirá las determinaciones principales y las conclusiones sobre las que el árbitro ha basado su laudo. La
sentencia fundada en el laudo arbitral será de inmediata aceptación y aplicación por las partes. El Usuario acepta que
los daños y perjuicios incluidos en el laudo arbitral deberán ser coherentes con los términos de la sección “Limitación
de Responsabilidad” anterior en lo referido al tipo y el monto de los daños respecto de los cuales una parte puede ser
considerada responsable. El laudo emitido por el árbitro deberá incluir los costos del arbitraje, honorarios razonables
de abogados y costos razonables de expertos y otros testigos, y cualquier sentencia fundada en el laudo emitido por el
árbitro podrá ser homologada en cualquier tribunal de jurisdicción competente. Los del arbitraje será distribuido por
partes iguales entre los intervinientes en el conflicto.
Yubiai en ningún momento se verá involucrada en las disputas pero podrá cooperar con las mismas acompañando las
conversaciones entre las partes que se hayan realizado en su plataforma y/o sitio y/o app ante el solo pedido de
cualquiera de los implicados.
Los Usuarios por medio del presente, aceptan mantener indemne a Yubiai de reclamaciones, demandas y daños,
reales y consecuentes, de cualquier tipo y naturaleza, conocidos y desconocidos, que se relacionen con dicha disputa
o nuestras determinaciones al respecto.
8. DISPUTAS CON YUBIAI
a. RENUNCIA AL JUICIO POR JURADO.
Usted acepta que cualquier disputa, reclamación o controversia que surja de estos Términos o en relación con ellos o
con el incumplimiento, la extinción, la aplicación, la interpretación o la validez de estos Términos o el uso del Sitio
Yubiai (colectivamente, “Disputas”) se resolverá mediante arbitraje vinculante entre el Usuario y Yubiai, con la
excepción de que cada parte se reserva el derecho de iniciar una acción individual en un tribunal de cuestiones
menores y el derecho de solicitar medidas precautorias u otros recursos de equidad en un tribunal de jurisdicción
competente para evitar la infracción real o potencial, la apropiación indebida o la violación de derechos de autor,
marcas comerciales, secretos comerciales, patentes u otros derechos de propiedad intelectual de alguna de las partes.
Usted reconoce y acepta que usted y Yubiai están renunciando al derecho de juicio por jurado o a participar como
demandante o parte de cualquier demanda colectiva o acción representativa que se pretenda. Asimismo, a menos que
usted y Yubiai acuerden lo contrario por escrito, el árbitro no podrá consolidar las reclamaciones de más de una
persona y tampoco podrá resolver sobre demandas colectivas o acciones representativas de ningún tipo. Si este
párrafo en particular fuera considerado inválido, entonces la totalidad de esta sección de “Resolución de Disputas”
será considerada nula. Excepto según lo indicado en la oración anterior, esta sección de “Resolución de Disputas”
continuará vigente después de la extinción de estos Términos.
b. NEGOCIACIÓN INFORMAL.
Para acelerar la resolución y reducir el costo de cualquier disputa, controversia o reclamación relacionada con este
Acuerdo o que surja de alguna otra manera de la relación entre usted y Yubiai, usted acepta como primer intento
negociar cualquier disputa de manera informal durante al menos treinta (30) días antes de iniciar cualquier arbitraje o
procedimiento judicial. Estas negociaciones informales comenzarán mediante notificación por medio electrónico a la
siguiente casilla de mail: [email protected] Usted acepta que se considerará recibida la notificación una vez la
misma es recibida por el correo del destinatario sin necesidad de que el mensaje haya sido abierto por este.
c. ARBITRAJE.
En el improbable caso de que Yubiai no hubiera podido resolver una Disputa que mantiene con usted después de
intentar hacerlo de manera informal, usted acepta resolver cualquier disputa que surje de este Acuerdo o de su
incumplimiento o su presunto incumplimiento, o en relación con ellos, mediante arbitraje a realizarse a través de los
sistemas propios de la plataforma Kleros. La parte que desee iniciar el arbitraje deberá iniciar el proceso de solicitud
por medio de dicha plataforma accediendo a https://court.kleros.io/ . Los árbitros serán designados por medio del
sistema generado por la plataforma. Los árbitros emitirán un laudo dentro del plazo especificado en las normas
propias de Kleros. La decisión del tribunal arbitral incluirá las determinaciones principales y las conclusiones sobre
las que el árbitro ha basado su laudo. La sentencia fundada en el laudo arbitral será de inmediata aceptación y

disputa.
9. OTRAS DISPOSICIONES
a. NOTIFICACIONES.
Yubiai podrá enviar notificaciones mediante una notificación general en el Sitio de Yubiai, por correo electrónico a la
dirección de correo electrónico que figura en su Cuenta. Estas notificaciones se considerarán cursadas al vencimiento
del plazo de 12 horas tras el envío. Usted podrá enviar notificaciones a Yubiai en cualquier momento por correo
electrónico certificado a la siguiente dirección de mail [email protected] y dichas notificaciones se
considerarán cursadas cuando sean recibidas por Yubiai.
b. IDIOMA PREVALECIENTE.
La versión en idioma español y en inglés de este Acuerdo prevalecerá en relación con todos los aspectos y en caso de
conflicto con las otras versiones traducidas, si lo hubiera.
c. GENERAL.
Usted no puede ceder estos Términos sin la aprobación previa por escrito de Yubiai. Yubiai podrá ceder estos
Términos sin su consentimiento a: (i) subsidiarias o afiliadas; (ii) adquirentes de capital, el negocio o activos de
Yubiai; o (iii) sucesores por fusión. Cualquier intento de cesión que no cumpla con esta sección será nulo. No existe
ningún tipo de empresa conjunta, asociación, relación de empleo o relación de agencia entre usted y Yubiai como
consecuencia de este Acuerdo o el uso de la plataforma y/o app de Yubiai. Si alguna disposición de estos Términos
fuera considerada inválida o inaplicable, dicha disposición será eliminada y el resto de las disposiciones conservarán
su validez en la máxima medida que la ley lo permita. El hecho de que Yubiai no ejerza algún derecho o disposición
en estos Términos no constituirá una renuncia a dicho derecho o disposición, a menos que Yubiai lo reconozca y
acepte por escrito.
AL HACER CLIC EN “ACEPTO”, USTED RECONOCE EXPRESAMENTE QUE HA LEÍDO,
COMPRENDIDO Y TOMADO LAS MEDIDAS PARA CONSIDERAR SERIAMENTE LAS
CONSECUENCIAS DE ESTE ACUERDO, QUE SE COMPROMETE A QUEDAR OBLIGADO POR LOS
TÉRMINOS Y CONDICIONES DEL ACUERDO, Y QUE ES LEGALMENTE COMPETENTE PARA
CELEBRAR ESTE ACUERDO CON YUBIAI.
Translation - English 1. ABOUT THE CONTRACTUAL OBLIGATION
These Terms and Conditions (hereinafter ‘T&C’) constitute a legal agreement between those persons who use this platform by registering on it (hereinafter ‘Users’) and YUBIAI in the process of incorporation and its members (hereinafter ‘Yubiai’). These T&C shall govern all relationships between the named parties regarding the use of the service platform as well as in the location that YUBIAI may have in the future and the mobile applications also offered.
PLEASE READ THESE T&C CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
These T&C constitute a contractual relationship between you and Yubiai. Access to the site and your use of it constitute your agreement to be bound by everything detailed here. This agreement will be expressed by clicking on ‘accept’ (‘clickwrap agreement’) when you first enter this platform. Likewise, compliance will be reaffirmed at the time of linking your wallet with our app.
If you do not agree to these T&C, you are not permitted to and may not access or use the Site. Yubiai may immediately cancel these T&C and stop offering its products as well as access to the site or any of its parts or the app, at any time and for any reason.
These T&C may be modified without prior notice by Yubiai. The modifications will be fully valid from the moment in which the user gives consent by clicking on accept (‘clickwrap agreement’) of the pop up that will appear as a notification for the update.
Without prejudice to the following points and for illustrative and summary purposes only, the User agrees to accept that Yubiai does not offer any type of guarantee for the goods or services offered on the platform; that Yubiai is only a communications platform that facilitates a P2P linking method where the goods and services are offered and performed by third parties unrelated to Yubiai and that it does not have any responsibility for the damages that may be caused or caused by the goods or services or for the acts or omissions of third parties; that you agree to release Yubiai from all liabilities and types of claims related to the site, the app and/or third parties, holding (both the platform and its licensors) harmless from any type of claim, taking responsibility for the damages that your actions or omission could generate; your acceptance to resort to the platform's own arbitration systems; your consent regarding the collection, use, disclosure and transfer of your data as indicated in the Privacy Policy, with its appropriate modifications.
2. SERVICES
a. OF THE PLATFORM AND/OR APP
Yubiai is only a platform and/or an application whose function is to be a site for third parties to link with each other. Users, in accordance with the provisions of these T&C, will be identified and linked to the platform and the application through systems provided by third parties, limiting Yubiai itself to allowing the execution of agreements between users as will be explained later.
Yubiai does not offer any type of goods or services offered on the platform, unless otherwise indicated, the goods and services are offered and performed by the users themselves, who are linked to the platform by their signature appended through the app of their wallet as well as by the identification of the Proof of Humanity system. In this sense, Yubiai does not ensure the link between the user and the natural person or the quality of the goods or services to be provided. Yubiai is not an employer, nor does any type of work or contract relationship link us with any of the users.
Yubiai does not have any type of responsibility for the services or the goods that the user offers and/or delivers nor for the guarantees of the consumer laws of each country. Yubiai does not obtain any profit in relation to the goods or services of the users and is not part of the commercial chain of any.
Yubiai is only limited to using its smart contracts as ways to improve the contractual fulfillment of the obligation and existing legal relations between the contracting users. It does not use or take ownership of the cryptoactives used as a means of payment, which will be blocked in the registry of the blockchain system linked to the public address of the smart contract used by the parties, being later unlocked and transferred once the contracting party provides their consent.
Yubiai will be able to contact users through the platform's internal messaging application, our representatives identify themselves with the identity of Yubiai. We do not request any payment, exchange of passwords or access data, if you suspect, contact support through the official email or Telegram channel.
b. RELATIONSHIP BETWEEN USERS
The relationship of the users between themselves will be that of the contract that they carry out and within the framework of the characteristics of their contract. No type of responsibility falls on Yubiai for a breach or disagreement, without prejudice to the platform's own arbitration systems.
Yubiai is limited to connecting people without being able to control the veracity of their information as well as the veracity of the digital identity of the contracting user.
For reputation systems, Yubiai uses third-party systems external to its information.
In the event of a dispute due to non-compliance or conflict between users, Kleros's own arbitration system will be used, of which Yubiai is also exempt from any type of responsibility or liability.
Users can enter into their own agreements apart from these T&C and even take their contract outside the platform assuming the risks of a proof of the commercial relationship themselves. This is because Yubiai can be a trusted evidentiary third party to provide all existing communications between users and thus aid the decision of the respective arbitration tribunal.
In this sense, the users authorize Yubiai to safeguard the messages and communication exchange between the parties while the negotiation lasts and for 10 days thereafter and to deliver it to the arbitration tribunal on demand. The files generated on the chat will be stored both on the fleek platform and on the google cloud owned by Yubiai, being available to the parties upon request through the aforementioned communication channels.
Users are solely and exclusively responsible for ensuring compliance with the contractual obligations assumed between them. Your conduct must comply with all national and international laws, rules, ordinances and regulations regarding the contracted good or service. If one of the Users does not comply with its contractual part, the other contracting party will be solely responsible for exercising the rights it may have, Yubiai is not responsible for exercising rights by virtue of the relationship generated between users or for damages to a person or property.
No employment relationship exists between the users and Yubiai nor between the users among themselves, limiting it simply to an eventual hiring either for the acquisition of a good or the hiring of a specific service.
None of the provisions in these T&C shall be interpreted as constituting a joint venture, partnership, or employer-employee relationship between Yubiai and any of the Users.
c. USERS’ IDENTITY.
The identity of users cannot be fully verified by Yubiai. Users connect to the platform by linking through their public address or wallet using an application (e.g. Metamask). Users must have previously been verified in the PoH system. However, such a system does not verify that the person is who they claim to be, and therefore Yubiai cannot and does not assume any responsibility for the accuracy or veracity of identity, background check information, or information provided through the Yubiai site or app.
Regarding the reputation of the Users, it does not depend on Yubiai or any scoring system of the platform or the app, for this Yubiai resorts to third-party companies that will also provide their information according to the link with the wallet. In such a way that given the impossibility of the Users to access their wallet, they will also lose all the information related to their data uploaded to Yubiai, releasing it from all kinds of responsibility, and the Users must create a new account that will not have the points of reputation of their previous one.
By using the Yubiai platform or app, you agree to release Yubiai from any liability or damage that may arise from the professional services of the Users. Yubiai is not responsible for the conduct, online or offline, of any of the Users, including third-party providers and will not be responsible for any claim, injury or damage arising in connection with the services contracted between the Users.
d. LICENSE.
Subject to your compliance with these T&C, Yubiai grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Yubiai site or app on your personal device and to access and use any related content, information, and materials that may be available through the Yubiai site or app, always being for personal and non-commercial or professional use.
Yubiai reserves all rights not expressly granted herein.
e. RESTRICTIONS.
You may not: (i) remove copyright or trademark or other proprietary notices from any part of the Site or Yubiai app; (ii) reproduce, modify, create derivative works, distribute, license, rent, sell, resell, transfer, publicly display, publicly perform, transmit, publish, broadcast, or otherwise exploit the Site or Yubiai app, except as expressly permitted by Yubiai; (iii) decompile, reverse engineer, or disassemble the Yubiai Site or app; (iv) link to, duplicate or use frame or framesets in any part of the Yubiai Site or app without express permission; (v) introduce or implement programs or scripts for the purpose of data mining, indexing, scanning or data mining in any part of the Site or Yubiai app, or
unduly hinder or impede the operation and/or functionality from any aspect of the Yubiai Site or app; or (vi) attempt to gain unauthorized access to or disrupt any aspect of the Yubiai Site or app or their related systems or networks.
f. SERVICES AND THIRD-PARTY CONTENT.
The Yubiai Site or App may be accessed or made available in connection with third party services and content (including advertising) that Yubiai does not control. You acknowledge that other terms of use and privacy policies may apply to your use of third party services and content. Yubiai does not endorse the services or content of third parties and in no case will be responsible for them.
g. PROPERTY.
The Yubiai Site and App and all rights set forth therein are and remain the property of Yubiai or Yubiai Members. Neither these T&C nor your use of the Yubiai Site or App will transfer or grant you any rights: (i) in or related to the Yubiai Site or App, except for the limited license granted above; or (ii) to use or refer in any way to the company names, logos, product and service names, trademarks or service marks of Yubiai or Yubiai's licensors.
3. CONCERNING THE USE OF THE SERVICES
a. ACCOUNTS.
In order to use the Yubiai platform, site and/or app, you must register and maintain a personal and active account. It is an essential requirement to open the account to be at least 18 years old or have reached the legal age in your jurisdiction.
To register, all interactions will be done within the platform through your linked wallet (public address). However, the company reserves the right to request certain information that you must provide to Yubiai, such as your name, address, cell phone number, as well as your public wallet address.
You agree to provide accurate, complete, and updated information in your Account. Failure to maintain accurate, complete, and updated Account information may result in your disqualification from accessing and using the Yubiai site and/or app.
You are responsible for all activity in your Account, and you agree to ensure the security and confidentiality of your Account username and password at all times.
Unless otherwise permitted in writing by Yubiai, you may only have one Account.
You as a User hereby agree to the veracity of your shared information such as your experiences, skills and jobs.
b. REQUIREMENTS AND USER BEHAVIOR.
The Service is not available to be used by people under the age of 18. You may not authorize third parties to use your Account, and you may not allow anyone under the age of 18 to receive or offer goods or services on your behalf unless accompanied by you. You may not assign or otherwise transfer your Account to any person or entity. You agree to comply with all applicable laws when using the Yubiai Site or App (including, without limitation, all applicable labor laws), and may only use the Yubiai Site and/or App for contractual relationships with lawful purposes (e.g., it cannot be used for the sale of goods prohibited by the legislation of any of the parties).
During your use of the Yubiai site and/or app, you agree that you will not cause problems, annoyances, inconvenience or damage to property, with respect to other Users, third parties or any other party.
It will be a requirement to access the services of the platform, site and/or app that you link your wallet with Yubiai's smart contract, if you refuse, access to the services will be prohibited. Also, in some cases, you may be asked more than once to link them as well as to provide proof of your identity to access or use the Yubiai site and/or app, and you agree that access or use of the Platform will be denied if you refuse to comply.
c. ACCEPTABLE USE POLICY.
During the term of this Agreement, you may use the Yubiai site and/or app for your personal use only. You may use the site and/or app to contract services from other users only with respect to the location where you are legally authorized to receive or offer the services. You may not use the Yubiai Platform for any other purpose or in connection with any other commercial activity without our express prior written consent. You may not use the Yubiai site, platform and/or app in violation of laws, rules, ordinances or regulations.
You agree that a request for Services and/or Goods constitutes an offer, which is deemed accepted only when you receive a confirmation of the request and the smart contract begins to be enforced at that moment.
You accept and understand that the smart contract will be executed automatically, withholding the payment and releasing it only when the contracting party confirms that the service was performed or the goods delivered. At the
time of carrying out the contractual relationship, the parties will establish a minimum and maximum period of time. Said minimum term can never be less than two days, while the maximum term can never be higher than 30 days.
In the event that the parties do not coordinate or establish a maximum and minimum term, a maximum standard term of 10 calendar days will be set by default.
In the event that the default term has been set and the contracted party cannot comply with it, they may request, one time, an extension of another 10 calendar days. After which the contracting party or the parties must resort to arbitration between the parties according to the clause established for this purpose.
In case of refunds, the aforementioned in previous paragraphs will apply and the parties may agree on a maximum term of dispute with a standard of 10 calendar days after which the relevant arbitration system will be opened in accordance with the respective clause.
You agree that you will treat other Users in a courteous and lawful manner, and that you will reasonably cooperate with other Users both in conducting the services and in any disputes.
Users agree that they will provide their services once they have accepted a request in a professional manner and with a quality warranty clause, and that they will provide the same in a courteous and legal manner and to the best of their abilities.
The Yubiai Platform may contain profiles, email systems, blogs, message boards, applications, job postings, chat areas, newsgroups, forums, communities, and/or other spaces for messages or communications (‘Community Areas’) that allow you to communicate with other users. You may use these community areas only to send and receive messages and materials that are relevant and appropriate for each particular forum. You shall NOT use the Yubiai Site (including, without limitation, any Community Area) to do any of the following:
● Defame, slander, libel, abuse, harass, stalk, threaten, or otherwise violate the legal rights (including, but not limited to, the rights of privacy and publicity) of others, including Yubiai staff.
● Publish, post, upload, distribute, or disseminate indecent, defamatory, infringing, obscene, or illegal topics, names, materials, or information, or materials, information, or content that involves the sale of counterfeit or stolen items.
● Take any action that violates local, state, national or international law.
● Upload files that contain software or other material that violates the intellectual property rights (or rights ofprivacy or publicity) of third parties.
● Upload files that contain viruses, Trojan horses, corrupted files or any other similar software that couldharm the operation of another's computer.
● Post and/or upload content for which you have not obtained the necessary rights or permissions to useaccordingly.
● Advertise or offer for sale any product or service for commercial purposes through the Yubiai site and/orapp that do not correspond to the services offered through the Yubiai site and/or app.
● Conduct or send surveys, organize or send contests, pyramid schemes, or chain letters.
● Purport to be another person or user or allow another person or entity to use your identity to post or viewcomments or use your account.
● Post the same announcement repeatedly (junk messages or ‘Spam’). Spamming is strictly prohibited.
● Download files posted by other users when the user knew or reasonably should have known that theycannot be legally distributed through the Yubiai site and/or app.
● Restrict or inhibit other users from using and enjoying the Community Areas.
● Imply or state that statements you make are endorsed by Yubiai, without Yubiai's prior written consent.
● Use a robot, web spider, manual and/or automatic processes or devices to perform data mining, tracking,extracting information or indexing the Yubiai Site in any way.
● Hack or interfere with the Yubiai platform, site and/or app, its servers or any connected network.
● Adapt, alter, license, sublicense, or translate the Yubiai Site for your own personal or commercial use.
● Remove or alter, visually or otherwise, copyrights, trademarks or proprietary marks and intellectualproperty rights owned by Yubiai.
● Upload content that is offensive and/or harmful, including, without limitation, content that advocates,endorses, condones, or promotes racism, bigotry, hatred, or physical harm of any kind against individuals orgroups of individuals.
● Upload content that offers material or access to material that exploit people under the age of 18 in anabusive, violent, or sexual manner.
● Use the Yubiai Platform, Site, and/or App to recruit for other businesses, websites, or services, or otherwisecontact users for employment, recruitment, or other purposes unrelated to the use of the Yubiai Site asestablished herein.
● Use the Yubiai Site to collect usernames and/or email addresses of users by electronic or other means.
● Register under another username or identity after your account has been terminated or closed.
You understand that all the posts you publish to the Community Areas will be public and that you will be publicly identified by your name or login ID when communicating in the Community Areas, and that Yubiai will not be responsible for the action of users with respect to information or materials posted in the Community Areas.
e. CONTENT PROVIDED BY USERS
Yubiai may, in its sole discretion, allow Users in due course to submit, upload, publish or otherwise make available to Yubiai through its platform information and written, auditory and/or visual content, including comments and opinions related to the Yubiai site and/or app, initiation of support requests and publication of entries for competitions and promotions (‘Content’). All content provided by you remains your property. However, by providing Content to Yubiai, you grant Yubiai a worldwide, perpetual, irrevocable, transferable, royalty-free license with the right to sublicense, use, reproduce, modify, distribute, publicly display and publicly perform such Content in any format and distribution channel currently known or developed in the future for the purposes of providing services through the Yubiai platform and site and/or app or otherwise in connection with the Yubiai business.
You represent and warrant to Yubiai that you are the sole and exclusive owner of all Content or otherwise have all necessary rights, licenses, consents and authorizations to license the Content to Yubiai as set forth above, and that your Content: (a) will not be false, inaccurate, incomplete or misleading; (b) will not be fraudulent or involve the sale of counterfeit or stolen items; (c) will not violate the copyrights, patents, trademarks, trade secrets or other intellectual property rights or rights of publicity or privacy of any third party; (d) will not violate any law, rule, ordinance or regulation (including, without limitation, those governing export control, consumer protection, unfair competition, anti-discrimination or misleading advertising); (e) will not be defamatory, libelous, unlawfully threatening or unlawfully harassing; (f) will not be obscene or contain child pornography or be harmful to minors; (g) will not contain any viruses, Trojan horses, worms, logic bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally damage, surreptitiously intercept, or expropriate any system, data, or personal information; and (h) will not create any liability on the part of Yubiai or cause the loss (in whole or in part) by Yubiai of the services of its internet service providers or other partners or providers. Yubiai may, but has no obligation to, review, monitor or remove Content in its sole discretion, at any time and for any reason, without notice to you.
f. DEVICES AND NETWORK ACCESS.
You are responsible for obtaining the required data network access to use the Yubiai platform, site and/or app. Your mobile network's data and messaging rates and charges may apply if you access or use the Yubiai platform or app from a wireless device.
You are responsible for acquiring and updating any devices or compatible hardware necessary to access and use the Yubiai Apps and Site and Subsites.
Yubiai does not guarantee that the site and/or the app and/or any of its parts will work on any particular device or hardware. Likewise, the site and/or the app may present malfunctions or delays inherent to the use of the internet and electronic communications.
4. PAYMENT
Yubiai does not obtain any percentage or payment for the services provided by Users. Yubiai is not part of the commercial chain. Payments made by Users to each other for the acquisition of goods or services are the exclusive contract between them.
Yubiai will not charge any type of fee neither per transaction nor per publication until further notice. Before starting to charge any fee, Yubiai will generate a 10-day notice to Users, stating the rate to be charged for the service from that moment, and any User may unsubscribe from their account at no cost.
Yubiai will in no case be responsible for non-payment or delay in payments by Users.
Yubiai reserves the right to (i) establish, eliminate and/or revise the Charges for any service or product obtained through the use of the Yubiai site and/or app at any time and in its sole discretion.
The User acknowledges and agrees that Charges applicable in certain geographic areas may increase significantly during times of high demand. Yubiai will take reasonable steps to inform you of the Charges that may apply.
Yubiai may, from time to time, provide certain Users with promotional offers and discounts that may result in different amounts being charged for the same or similar services or products obtained through the use of the Yubiai Site.
5. INTELLECTUAL PROPERTY; COPYRIGHT; CONFIDENTIALITY a. INTELLECTUAL PROPERTY RIGHTS.
All the text, graphics, editorial content, data, formatting, graphics, layouts, HTML language, look and feel, photos, music, sounds, images, software, videos , fonts and other content (collectively, ‘Proprietary Material’) that you view or read through the platform and/or the Yubiai site and/or app is the property of Yubiai, excluding Content that Yubiai has the right to use as described above. The Proprietary Material is protected in all forms, media and technologies now known or hereafter developed. Yubiai owns all the Proprietary Material, as well as the coordination, selection, arrangement, and enhancement of such Proprietary Material as a Collective Work under local laws. The Proprietary Material is protected by national and international copyright, patent and other intellectual property rights and laws. You may not copy, download, use, redesign, reconfigure, or retransmit any element of the Yubiai site and/or app without the express prior written consent of Yubiai and, if applicable, the owner of the rights to the Content. Any use of this Proprietary Material, except as permitted hereunder, is expressly prohibited without the prior consent of Yubiai and, if applicable, the owner of rights in the Content.
Yubiai trademarks and service marks, including, but not limited to, ‘Yubiai’ and Yubiai logos are service marks owned by Yubiai. Any other trademark, service mark, logo and/or trade name that appears on the Yubiai site and/or app are the property of their respective owners. You may not copy or use any of these trademarks, logos or trade names without the express prior written consent of the owner.
b. CONFIDENTIAL INFORMATION.
You acknowledge that Confidential Information (as defined below) is a valuable, special and unique asset of Yubiai and you agree that you will not disclose, transfer, use (or attempt to induce others to disclose, transfer or use) Confidential Information for purposes other than disclosure to its employees and authorized agents who are required to maintain the confidentiality of the Confidential Information. You must immediately notify Yubiai in writing of any circumstance that could constitute an unauthorized disclosure, transfer or use of Confidential Information. You shall use reasonable efforts to protect the Confidential Information from unauthorized disclosure, transfer or use.
The term ‘Confidential Information’ shall refer to all trade secrets and confidential and proprietary information of Yubiai and all other information and data of Yubiai that are generally not known to the public or to other third parties that could obtain a value, economic or otherwise, from its use or disclosure. Confidential Information shall be deemed to include technical data, know-how, studies, product plans, products, services, customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, configuration information of hardware, marketing, financial, or other business information disclosed directly or indirectly in writing, orally, or through drawings or observations.
6. DISCLAIMER AND EXCLUSION OF LIABILITY; LIMITATION OF LIABILITY; INDEMNITY a. DISCLAIMER AND EXCLUSION OF LIABILITY.
The products and services purchased or offered (whether through recommendations and suggestions or otherwise) through the Yubiai site and/or app are offered ‘AS IS’ and without any guarantee of any kind by Yubiai or other persons (unless, with respect to such other persons only, expressly and unequivocally provided in writing by a designated third party for a specific product).
YOUR USE OF THE YUBIAI SERVICES IS DONE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE YUBIAI SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OR LEGAL PURPOSE. WITHOUT LIMITING THE FOREGOING, YUBIAI AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICES WILL MEET THE REQUIREMENTS OF USERS; THAT THE SERVICES WILL BE AVAILABLE AT A PARTICULAR TIME OR LOCATION, WITHOUT INTERRUPTION OR IN A SECURE MANNER; THAT DEFECTS OR ERRORS WILL BE CORRECTED; NOR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YUBIAI DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THE CONTRACTING USERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES AND ANY SERVICES OR PRODUCTS REQUESTED IN CONNECTION THEREWITH REMAINS SOLELY WITH YOU TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW. YOU AGREE THAT YUBIAI SHALL NOT BE LIABLE FOR YOUR ACTIONS OR OMISSIONS OR THE ACTIONS OR OMISSIONS OF ANY OTHER USER.
b. LIMITATION OF LIABILITY.
YUBIAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, IN CONNECTION WITH OR AS A RESULT OF YOUR USE OF THE SERVICES,
EVEN IF YUBIAI HAD BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. YUBIAI SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING OUT OF: (i) YOUR PROVISION OF, USE OF, OR RELIANCE ON THE YUBIAI SERVICES OR YOUR INABILITY TO ACCESS OR USE THE YUBIAI SERVICES; OR (ii) ANY TRANSACTIONS OR RELATIONSHIPS BETWEEN USERS, EVEN IF YUBIAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YUBIAI SHALL NOT BE LIABLE FOR ANY DELAY OR NON-PERFORMANCE RESULTING FROM CAUSES BEYOND YUBIAI'S REASONABLE CONTROL. THE USER ACKNOWLEDGES THAT OTHER USER PROVIDING THE SERVICE MAY NOT HAVE PROFESSIONAL LICENSES OR AUTHORIZATIONS. IN NO EVENT SHALL YUBIAI'S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED THE TOTAL CHARGES AND COSTS PAID OR RECEIVED BY YOU THROUGH YUBIAI DURING THE SIX (6) MONTHS PRIOR TO THE TIME THE CLAIM WAS FILED.
YUBIAI HAS NO LIABILITY TO USERS IN CONNECTION WITH PRODUCTS OR LOGISTIC SERVICES OFFERED BY OTHER USERS OR WITH RESPECT TO SERVICES INCLUDING FAILURE TO PAY.
THE LIMITATIONS AND DISCLAIMER IN THIS SECTION ARE NOT INTENDED TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER WHICH MAY NOT BE EXCLUDED UNDER APPLICABLE LAW.
c. INDEMNITY.
The User accepts and releases from liability and agrees to hold Yubiai and its officers, directors, employees and agents harmless from any claim, demand, loss, liability and expense (including, but not limited to, attorneys' fees) arising out of or relating to: (i) your use of the Yubiai Site and/or app or the services or products obtained or provided or sold through your use of the Yubiai Site, including any data or content transmitted or received by you , or the access or use of the Site and/or Yubiai app by a third party with your username and password; (ii) your breach or violation of any of these Terms or applicable laws, rules or regulations (including, without limitation, tax or employment laws); (iii) Yubiai's use of your Content; or (iv) your violation of third party rights.
7. DISPUTE BETWEEN USERS
It is the obligation of the User to carry out all the investigations that may consider necessary or pertinent before proceeding with any online or offline transaction with any other User with whom he carries out the contracting of the service or goods.
Yubiai will not be liable for any loss or damage of any kind arising from such communications.
If there is any dispute between the Users, the arbitration system established by the Kleros platform will be used. The party wishing to initiate arbitration must initiate the application process through said platform by accessing https://court.kleros.io/. The arbitrators will be appointed through the system generated by the platform. The arbitrators will issue an arbitration finding within the period specified in the Kleros own rules. The decision of the arbitral tribunal shall include the main findings and conclusions on which the arbitrator has based his findings. The judgment based on the arbitration finding will be immediately accepted and applied by the parties. The User agrees that the damages included in the arbitration finding must be consistent with the terms of the ‘Limitation of Liability’ section above in relation to the type and amount of damages for which a party may be held liable. The arbitration finding issued by the arbitrator shall include the costs of arbitration, reasonable attorneys' fees, and reasonable costs of experts and other witnesses, and any judgment based on the finding issued by the arbitrator may be validated in any court of competent jurisdiction. Arbitration costs will be distributed equally among the parties involved.
Yubiai will at no time be involved in the disputes but may cooperate with them by accompanying the conversations between the parties that have been held on its platform and/or site and/or app at the sole request of any of those involved.
Users hereby agree to hold Yubiai harmless from claims, demands and damages, actual and consequential, of any kind and nature, known and unknown, related to said dispute or our determinations in this regard.
8. DISPUTES WITH YUBIAI
a. WAIVER OF JURY TRIAL OR ARRAIGO.
You agree that any dispute, claim, or controversy arising out of or in connection with these T&C or the breach, termination, enforcement, interpretation, or validity of these T&C or the use of the Yubiai Site (collectively, ‘Disputes’) shall be resolved by binding arbitration between the User and Yubiai, with the exception that each party reserves the right to bring an individual action in small claims court and the right to seek interim measures or remedy in equity in a small claims court. competent jurisdiction to prevent actual or potential infringement, misappropriation, or violation of any party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
You acknowledge and agree that you and Yubiai are waiving the right to a trial by jury or to participate as a plaintiff or party in any purported class action or representative action. Furthermore, unless you and Yubiai agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not issue ruling on class action or
representative actions of any kind. If this particular paragraph is held invalid, then the entirety of this ‘Dispute Resolution’ section will be held void. Other than as aforesaid, this ‘Dispute Resolution’ section will survive termination of these T&C.
b. INFORMAL NEGOTIATION.
In order to expedite resolution and reduce the cost of any dispute, controversy or claim related to this Agreement or otherwise arising out of the relationship between you and Yubiai, you agree to first attempt to negotiate any dispute informally for at least thirty (30) days prior to initiating any arbitration or court proceeding. These informal negotiations will begin by means of electronic notification to the following email address: [email protected]. You accept that the notification will be considered received once it is received by the recipient's email without the need for the message to have been opened by the aforementioned.
c. ARBITRATION.
In the unlikely event that Yubiai has been unable to resolve a Dispute with you after attempting to do so informally, you agree to resolve any dispute arising out of or in connection with this Agreement or your breach or alleged breach, through arbitration to be carried out through the systems of the Kleros platform. The party wishing to initiate arbitration must initiate the application process through said platform by accessing https://court.kleros.io/. The arbitrators will be appointed through the system generated by the platform. The arbitrators will issue an arbitration finding within the period specified in the Kleros own rules. The decision of the arbitral tribunal shall include the main findings and conclusions on which the arbitrator has based his findings. The judgment based on the arbitration finding will be immediately accepted and applied by the parties. The User agrees that the damages included in the arbitration finding must be consistent with the terms of the ‘Limitation of Liability’ section above in relation to the type and amount of damages for which a party may be held liable. The arbitration finding issued by the arbitrator shall include the costs of arbitration, reasonable attorneys' fees, and reasonable costs of experts and other witnesses, and any judgment based on the finding issued by the arbitrator may be validated in any court of competent jurisdiction. The cost of the arbitration request will be borne entirely by the User initiating the dispute.
9. OTHER PROVISIONS
a. NOTIFICATIONS.
Yubiai may send notifications by means of a general notification on the Yubiai Site, by email to the email address listed in your Account. These notifications will be considered given at the expiration of the period of 12 hours after sending. You may send notifications to Yubiai at any time by certified email to the following email address [email protected] and said notifications will be considered given when they are received by Yubiai.
b. PREVAILING LANGUAGE.
The Spanish and English language versions of this Agreement will prevail in all respects and in the event of conflict with the other translated versions, if any.
c. GENERAL.
You may not assign these T&C without Yubiai's prior written approval. Yubiai may assign these T&C without your consent to: (i) subsidiaries or affiliates; (ii) acquirers of capital, business or assets of Yubiai; or (iii) successors by merger. Any attempted assignment that does not comply with this section will be void. No joint venture, partnership, employment, or agency relationship exists between you and Yubiai as a result of this Agreement or your use of the Yubiai platform and/or app. If any provision of these T&C is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in effect to the fullest extent permitted by law. The failure of Yubiai to exercise any right or provision in these T&C shall not constitute a waiver of such right or provision, unless acknowledged and agreed to in writing by Yubiai.
BY CLICKING ‘ACCEPT’, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND TAKEN STEPS TO SERIOUSLY CONSIDER THE CONSEQUENCES OF THIS AGREEMENT, THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE AGREEMENT, AND ARE LEGALLY COMPETENT TO ENTER INTO THIS AGREEMENT WITH YUBIAI.
